Legal Safety Agreement

This Legal Safety Agreement (the Agreement) is entered into as of Date: by and between Company Name: , a business organized as Corporation LLC Other (Company), and Contractor Name: , a business organized as Corporation LLC Other (Contractor). Company and Contractor are each a Party and together the Parties.

Recitals

WHEREAS, Company owns, operates or controls certain premises and facilities where hazardous activities, equipment, and materials may be present; and

WHEREAS, Contractor will perform Work (as defined below) at Company premises and will have access to Company personnel, property, and information; and

WHEREAS, the Parties desire to allocate responsibility for safety, hazard control, incident reporting, inspections, and related obligations to reduce risk and comply with applicable law.

NOW THEREFORE, in consideration of the mutual covenants set forth herein, the Parties agree as follows:

1. Definitions

1.1 "Work" means the services, deliveries, maintenance, construction, testing, or other activities to be performed by Contractor on or adjacent to Company premises as described in Contractor's scope or purchase order.

1.2 "Hazardous Condition" means any condition, substance, or practice that presents a risk of injury, illness, property damage or environmental harm, including but not limited to slips, falls, energized equipment, confined spaces, hazardous energy, and hazardous materials.

2. Safety Obligations

2.1 Contractor Obligations. Contractor shall: (a) perform the Work in a safe and workmanlike manner consistent with industry standards; (b) comply with all applicable federal, state, and local safety, health, fire, and environmental laws, codes, regulations and standards; (c) ensure that its employees, subcontractors, and agents are trained, qualified and competent to perform the Work; (d) use appropriate personal protective equipment ("PPE") and safety devices; and (e) immediately cease any activity that poses an imminent risk to persons or property until the hazard is abated.

2.2 Company Obligations. Company shall: (a) identify reasonably foreseeable site-specific hazards to Contractor prior to commencement of Work; (b) provide access to site-specific safety rules and any required permits; and (c) cooperate with Contractor in coordinating on-site safety activities. Company does not, however, assume responsibility for Contractor's means, methods or supervision of its workforce.

3. Training, Certification and Qualifications

3.1 Contractor shall maintain training records demonstrating compliance with applicable safety training requirements and shall provide copies of such records to Company upon request. All personnel performing Work subject to this Agreement must hold current certifications required for their tasks.

3.2 Prior to accessing restricted areas, Contractor personnel shall complete any site-specific inductions, permits or orientation required by Company. Failure to do so authorizes Company to deny site access.

4. Personal Protective Equipment and Tools

4.1 Contractor shall supply, maintain, and enforce the use of PPE appropriate to the Work. Contractor warrants that all tools, equipment and machinery used in performance of the Work are in safe working condition, inspected as required, and properly guarded.

4.2 If Company elects to supply any equipment or PPE, such supply does not relieve Contractor of the duty to inspect and ensure fitness for purpose prior to use.

5. Site Access, Security and Permit Systems

5.1 Contractor shall comply with Company rules governing site access, badging, traffic control, lockout/tagout, hot work permits, confined space entry permits, and any other permit-required procedures. Contractor shall retain copies of completed permits on site and provide them to Company upon reasonable request.

6. Incident Reporting and Investigation

6.1 Contractor shall immediately notify Company of any incident, injury, near miss, property damage, spill or release that occurs in connection with the Work. Notification shall be made to Company Safety Contact identified in Section 14 and shall be followed by a written report within twenty-four (24) hours describing the incident, the personnel involved, corrective actions taken, and planned remedial measures.

6.2 The Parties shall cooperate in any incident investigation. Neither Party's participation in an investigation shall constitute an admission of liability; however, relevant factual findings shall be shared and corrective measures implemented promptly.

7. Inspections and Audits

7.1 Company may conduct periodic safety inspections and audits of Contractor's work, equipment, and records. Contractor shall provide reasonable access and shall promptly correct any deficiencies identified in writing by Company.

8. Insurance and Indemnification

8.1 Insurance. Contractor shall procure and maintain at its expense insurance with limits no less than: Commercial General Liability $1,000,000 per occurrence; Automobile Liability $1,000,000 combined single limit; Workers' Compensation as required by law; and Employers' Liability $500,000. Certificates evidencing such coverage shall be provided to Company prior to commencement of Work.

8.2 Indemnification. Contractor shall indemnify, defend and hold harmless Company and its officers, directors, employees and agents from and against any and all claims, losses, damages, liabilities, fines, penalties and expenses (including reasonable attorneys' fees) arising out of or resulting from Contractor's acts or omissions in the performance of the Work, except to the extent caused by Company's gross negligence or willful misconduct.

9. Limitation of Liability

9.1 Except for liability arising from gross negligence, willful misconduct, or Contractor's failure to carry required insurance or to indemnify as required herein, neither Party shall be liable to the other for consequential, incidental, special or punitive damages.

10. Compliance with Law and Standards

10.1 Each Party shall comply with all applicable laws, regulations and industry standards relating to safety, health, environmental protection and hazardous materials. Contractor shall notify Company promptly of any regulatory citations or enforcement actions arising from the Work.

11. Term and Termination

11.1 Term. This Agreement begins on the Effective Date and continues until completion of the Work or earlier termination in accordance with this Section.

11.2 Termination for Safety Breach. Company may immediately suspend or terminate Contractor's access or this Agreement if Contractor fails to correct a material safety violation or if Contractor's actions create an imminent risk to health, safety or the environment.

12. Confidentiality

12.1 Each Party shall maintain in confidence any safety-related information designated as confidential by the other Party or that, by its nature, should reasonably be considered confidential, including incident reports, investigation records, and corrective action plans, except as required by law or regulatory authority.

13. Remedies; Waiver; Amendments

13.1 Remedies. The rights and remedies of the Parties under this Agreement are cumulative and in addition to any other rights or remedies available at law or in equity.

13.2 Waiver and Amendment. No failure or delay by a Party in exercising any right shall operate as a waiver. This Agreement may be amended only by a writing signed by authorized representatives of both Parties.

16.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of laws principles.

16.2 Entire Agreement. This Agreement constitutes the entire agreement between the Parties regarding safety obligations at the site and supersedes all prior negotiations, understandings and agreements, whether written or oral, relating to the subject matter.

16.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and the invalid provision shall be reformed to the extent necessary to make it enforceable and reflect the Parties' intent.

16.4 Counterparts and Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original, and may be executed and delivered by electronic means which shall be binding.
