What the Legal SAGRILAFT Annex Template Is and When It Applies

The Legal SAGRILAFT Annex Template is a formal annex used to document legal controls, declarations, and risk-related disclosures tied to an organization’s anti-money laundering and counter‑terrorist financing framework (SAGRILAFT). In practice this annex captures party identities, related due diligence statements, and contractual risk allocation clauses that supplement a primary agreement. Although SAGRILAFT originates in Latin American compliance frameworks, the annex can be adapted to U.S. contexts to record AML policies, attestations, and risk-based procedures for counterparties and vendors while preserving auditable recordkeeping.

Why a Standardized Annex Benefits Legal and Compliance Teams

A standardized Legal SAGRILAFT Annex Template reduces ambiguity, centralizes required attestations, and creates a consistent audit trail for AML-related commitments.

Why a Standardized Annex Benefits Legal and Compliance Teams

Who Commonly Prepares and Signs This Annex

The completed annex provides a snapshot of contractual AML commitments and a record suitable for internal controls, audits, and regulatory review.

  • Compliance Officers and AML Teams — draft and verify risk statements; ensure alignment with internal policies and regulator expectations.
  • Legal Counsel and Contract Managers — incorporate annex language into master agreements and confirm enforceability under governing law.
  • Vendors and Counterparties — provide attestations, supporting documentation, and an authorized signature to complete the annex.

Core Sections to Include in a Professional SAGRILAFT Annex

A well‑constructed annex groups legal identifiers, attestations, obligations, evidence, signature blocks, and governing law into discrete sections for clarity and auditability.

Parties

Full legal names and entity types of all signatories, including registration numbers and the jurisdiction of incorporation to ensure unambiguous identification in contracts and filings.

Scope

Clear description of the annex scope and linked master agreement sections so readers understand which activities and relationships are covered by the SAGRILAFT obligations.

Attestations

Targeted AML/CTF statements the party must confirm, such as sanctions screening, beneficial ownership disclosures, and ongoing monitoring commitments.

Supporting Evidence

List of required documents — e.g., KYC files, certificate of incorporation, beneficial ownership records — and acceptable formats for submission or attachment.

Obligations

Operational duties, reporting triggers, notice periods for suspicious activity, and remediation steps so responsibilities are enforceable and timebound.

Signatures & Dates

Dedicated signature block with printed name, title, execution date, and space for notarization or witness details when required by governing law or internal policy.

Sequential Steps to Complete and Sign the Annex

Follow these ordered steps to collect, verify, and finalize the annex with an auditable record of execution.

Prepare Annex: Populate party details and required clauses.
  • 02
Attach Evidence: Upload KYC and registration documents.
  • 03
Review Internally: Compliance and legal review for gaps.
  • 04

How to Configure a Digital Review and Signing Workflow

A predictable digital workflow reduces errors and creates a complete audit trail for each annex executed electronically.

Field Configuration
Routing Order Sequential signers: Compliance → Legal → Counterparty
Authentication Email link plus SMS code or KBA if higher assurance required
Attachments Require KYC PDFs and incorporation evidence before final signature
Audit Capture Record IP, timestamps, and certificate of completion

Typical Electronic Execution Flow for the Annex

Electronic execution follows a short sender-to-signer sequence that preserves attribution, timestamps, and supporting evidence.

  • Upload: Sender uploads annex and attachments
  • Place Fields: Add signature, date, and checkbox fields
  • Send: Dispatch to signers with authentication
  • Complete: Signer executes; system stores audit record

Platform Capabilities to Support Secure eSigning

Confirm integration needs (CRM, document repository) and compliance requirements such as HIPAA or 21 CFR Part 11 before finalizing the platform choice.

  • Audit Trail: Detailed event logs and timestamps
  • Authentication: Email, SMS code, or higher assurance
  • Document Formats: PDF, DOCX, and supported exports

Security and Compliance Features to Verify

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest

HIPAA Support: BAA available for protected health information
ESIGN & UETA: Compliant with ESIGN and UETA requirements
21 CFR Part 11: Capabilities for FDA-regulated recordkeeping
Accessibility: WCAG 2.0 Level AA compatibility

Key Legal Risks and Penalties to Avoid

Incorrect 1099s: IRC §6721 penalties per form for late or incorrect filings
I-9 Violations: 8 CFR §274a.2 paperwork fines range broadly
False Attestations: Civil and contractual liability for inaccurate AML statements
Retention Failures: Regulatory exposure for missing required records
Improper E-sign: ESIGN test failures can affect enforceability
Data Breach: State breach laws and CCPA penalties apply

Common Preparation Errors to Avoid

  • Using inconsistent party names between annex and corporate records, which complicates KYC and may delay onboarding.
  • Failing to attach required KYC documents or submitting image scans that are illegible to compliance reviewers.
  • Leaving attestations ambiguous or unchecked, creating disputes about the party’s obligations and audit findings.
  • Relying on weak signer authentication when the party’s role requires elevated proof of identity and non‑repudiation.
