LEGAL SCHEDULE ABC

This Schedule ABC ("Schedule") is entered into as of by and between Party A: , having principal place of business at , and Party B: , having principal place of business at (each a "Party" and together the "Parties").

RECITALS

WHEREAS, the Parties are parties to a Master Agreement titled dated (the "Master Agreement");

WHEREAS, the Parties desire to set forth the specific terms, schedules, and supplemental obligations applicable to certain goods, services, deliverables, or payment terms as described herein; and

WHEREAS, this Schedule is executed to supplement and be bound to the Master Agreement to the extent provided below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

Capitalized terms used but not defined in this Schedule have the meanings given to them in the Master Agreement. For purposes of this Schedule, the following definitions shall apply:

1.1 "Scheduled Items" means the goods, services, deliverables, specifications, and milestones described in Section 3 of this Schedule.

2. INCORPORATION

This Schedule is incorporated into and forms part of the Master Agreement. Except as expressly modified by this Schedule, all terms and conditions of the Master Agreement remain in full force and effect.

3. SCHEDULE EFFECTIVE DATE; DESCRIPTION OF SCHEDULED ITEMS

3.1 Effective Date: The effective date for the terms of this Schedule shall be unless otherwise terminated or extended in accordance with this Schedule.

3.2 Description: The Scheduled Items, including detailed specifications, delivery milestones, and acceptance criteria, are described below. The descriptions contained in this Section 3 control over any conflicting descriptions in purchase orders, statements of work, or other ancillary documents.

4. PERFORMANCE STANDARDS; ACCEPTANCE

4.1 Performance Standards. All Scheduled Items shall be performed or delivered in a timely, professional manner consistent with industry standards and the specifications set forth in Section 3. Supplier shall use personnel of requisite skill, experience, and qualifications.

4.2 Acceptance. Unless otherwise stated herein, Party A shall have a period of days from delivery or completion to test and accept or reject the deliverable in writing. Failure to provide written rejection shall constitute acceptance.

5. PAYMENT; TAXES

5.1 Payment Terms. Payment for Scheduled Items shall be made pursuant to the following schedule:

5.2 Taxes. Each Party shall be responsible for its own taxes arising from performance under this Schedule, except that amounts payable hereunder shall be increased to account for any taxes required by applicable law to be collected by the paying Party from the receiving Party.

6. REPRESENTATIONS; WARRANTIES; COMPLIANCE

6.1 Each Party represents and warrants that it has the full corporate power and authority to enter into this Schedule and to perform its obligations hereunder.

6.2 Compliance. Each Party shall comply with all applicable laws, rules and regulations in the performance of its obligations under this Schedule and shall obtain and maintain all permits and licenses required for such performance.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

7.1 Indemnification. Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party (the "Indemnified Party") from and against all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of claims to the extent caused by the Indemnifying Party's breach of this Schedule, negligence, or willful misconduct in connection with performance hereunder.

7.2 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or a Party's breach of confidentiality or indemnification obligations, neither Party's aggregate liability under this Schedule shall exceed .

8. TERMINATION; SURVIVAL

8.1 Termination. This Schedule may be terminated in accordance with the Master Agreement or upon mutual written agreement of the Parties. Termination of the Master Agreement shall terminate this Schedule unless otherwise agreed in writing.

8.2 Survival. The obligations of the Parties that by their nature would survive termination or expiration of this Schedule, including Sections relating to payment, indemnification, limitation of liability, confidentiality, and governing law, shall survive such termination or expiration.

9. ASSIGNMENT

Neither Party may assign or delegate its rights or obligations under this Schedule without the prior written consent of the other Party, which consent shall not be unreasonably withheld; provided, however, that a Party may assign this Schedule in connection with a merger, sale of substantially all assets or stock, or other change of control so long as the assignee assumes the assigning Party's obligations hereunder in writing.

10. NOTICES

All notices, requests, consents and other communications required or permitted under this Schedule shall be in writing and delivered to the addresses below, and shall be deemed given when received.

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 Amendments. No modification of this Schedule shall be effective unless in writing and signed by authorized representatives of both Parties.

11.2 Waiver. The failure of either Party to enforce any provision of this Schedule shall not constitute a waiver of future enforcement of that or any other provision.

11.3 Counterparts. This Schedule may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be binding.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Schedule shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Master Agreement for governing law; if no governing law is specified in the Master Agreement, the laws of the state or jurisdiction of the Party A principal place of business shall govern.

12.2 Entire Agreement. This Schedule, together with the Master Agreement and any referenced attachments, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings relating thereto.

12.3 Severability. If any provision of this Schedule is held to be invalid or unenforceable, the remainder of this Schedule shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.

13. MISCELLANEOUS PROVISIONS

13.1 No Third-Party Beneficiaries. Except as otherwise expressly provided in the Master Agreement, this Schedule is for the sole benefit of the Parties and their permitted successors and assigns and is not intended to confer any rights upon any third party.

13.2 Remedies. Except as otherwise set forth herein, the remedies provided in this Schedule are cumulative and in addition to any other remedies available at law or in equity.
