This Schedule I (the "Schedule") is delivered pursuant to and forms an integral part of the Agreement dated Effective Date: between Party A: and Party B: .

RECITALS

WHEREAS, Party A and Party B entered into the Agreement to govern the allocation of certain rights, assets, or obligations identified therein; and

WHEREAS, the Agreement contemplates that specific items, descriptions, or schedules will be attached as Sectional Schedules and incorporated by reference; and

WHEREAS, the parties desire to set forth in this Schedule I the specific items, descriptions, identifiers and relevant representations required by the Agreement.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained in the Agreement and this Schedule, the parties agree as follows:

1. IDENTIFICATION OF SCHEDULE I ITEMS

The following items, each with the specifications and supporting details provided below, constitute the complete list of Schedule I items as of the Effective Date. Each listed item is described with sufficient particularity to be identifiable and enforceable under the Agreement.

If additional items are required, attach annexes hereto labeled Schedule I-A, Schedule I-B, etc., each of which shall be incorporated by reference and bear an identifying header referencing the Agreement and Effective Date.

2. INCORPORATION; INTERPRETATION

This Schedule I is incorporated into and forms part of the Agreement. Terms defined in the Agreement shall have the same meanings when used in this Schedule. In the event of any conflict between the Agreement and this Schedule, the terms of the Agreement shall control unless this Schedule expressly states otherwise.

3. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that, as of the Effective Date:

(a) the information and descriptions set forth in this Schedule are true, complete and accurate in all material respects; and

(b) no item listed on this Schedule is subject to any undisclosed lien, encumbrance, claim, or agreement that would materially impair the rights or remedies provided under the Agreement except as expressly disclosed herein.

4. CONFIDENTIALITY

All information contained in this Schedule constitutes Confidential Information under the Agreement. Neither party shall disclose Schedule contents to any third party except as permitted by the Agreement, by applicable law, or pursuant to a binding order of a competent tribunal, provided that the disclosing party uses reasonable efforts to notify the other party and to obtain protective measures.

5. NOTICES

All notices, requests, consents and other communications required or permitted by this Schedule shall be given in accordance with the Notices provision of the Agreement. For convenience, the parties' current notice contacts are set forth below.

6. AMENDMENTS AND WAIVERS

This Schedule may be amended only by a written instrument signed by authorized representatives of both parties. No waiver of any provision of this Schedule shall be effective unless in writing and signed by the party granting the waiver.

7. COUNTERPARTS; EXECUTION

This Schedule may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall have the same force and effect as original signatures.

8. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

Governing Law: The Agreement and this Schedule shall be governed by and construed in accordance with the laws designated in the Agreement. If the Agreement does not specify governing law, the parties elect the governing law as:

Entire Agreement: This Schedule, together with the Agreement and any referenced exhibits or schedules, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to such subject matter.

Severability: If any provision of this Schedule is held to be invalid, illegal or unenforceable, the remainder of this Schedule shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.

9. ADDITIONAL PROVISIONS

Each party agrees to execute and deliver such further instruments and to take such further actions as may be reasonably required to carry out the purposes of this Schedule and to give effect to the provisions of the Agreement.
