RECITALS

1.2 "Deliverable" means any item of work specified in Section 3 and delivered by Provider to Client in accordance with this Schedule.

4. PAYMENT TERMS

4.1 Client shall pay Provider the fees specified in Section 3 in accordance with the invoicing schedule set forth below. Unless otherwise agreed in writing, payment is due within days of Provider's invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

5. CONFIDENTIALITY

5.1 All information exchanged in connection with this Schedule shall be treated as Confidential Information as defined in the Agreement. Each party shall use Confidential Information solely for the purposes of performing its obligations under this Schedule and shall not disclose such information except as expressly permitted by the Agreement.

6. TERM AND TERMINATION

6.1 The term of this Schedule shall commence on the Effective Date and continue until unless earlier terminated in accordance with the Agreement.

7. NOTICES

Notices related to this Schedule shall be given in writing to the addresses set forth below or as otherwise provided in the Agreement.

8. AMENDMENTS; WAIVER

8.1 No amendment, modification or waiver of any provision of this Schedule shall be effective unless in writing and signed by duly authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

9.1 Governing Law. This Schedule shall be governed by and construed in accordance with the laws of the jurisdiction specified for governing law in the Agreement, without regard to conflict of laws principles.

9.2 Entire Agreement. This Schedule, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings relating to such subject matter.

9.3 Severability. If any provision of this Schedule is held to be illegal, invalid or unenforceable in whole or in part, the remaining provisions shall remain in full force and effect and shall be construed to give effect to the parties' intent as nearly as possible.

10. MISCELLANEOUS

10.1 Counterparts. This Schedule may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

10.2 Relationship of Parties. The parties are independent contractors and nothing in this Schedule shall create an employer-employee, joint venture, partnership, or agency relationship between the parties.
