This Legal Schedules Template (the "Schedules") is made effective as of Effective Date: by and between Client Name: with principal address: and Contractor Name: with principal address: .

RECITALS

WHEREAS, the parties have entered into a separate Master Agreement titled Master Agreement Title: dated Master Agreement Date: (the "Master Agreement"); and

WHEREAS, the Master Agreement contemplates or requires the preparation, delivery, or amendment of Schedules that set forth more detailed statements of work, fees, deliverables, specifications and other matters; and

WHEREAS, the parties desire to adopt the form, organization and procedures for Schedules as set forth herein in order to implement the Master Agreement and to provide clarity with respect to the incorporation, amendment and delivery of such Schedules.

NOW, THEREFORE

In consideration of the mutual covenants and promises set forth in the Master Agreement and herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

Capitalized terms used but not otherwise defined in this Schedules Template shall have the meanings ascribed to them in the Master Agreement. For purposes of this Schedules Template:

"Schedule" means any annex, exhibit or other attachment identified in the Schedule Index below and incorporated by reference into the Master Agreement in accordance with Section 2.

2. INCORPORATION

Each Schedule completed and executed in accordance with the procedures set forth in this document shall be deemed incorporated into and made a part of the Master Agreement. In the event of any conflict between the terms of a Schedule and the Master Agreement, the Master Agreement shall control unless the Master Agreement expressly provides that the Schedule supersedes specific provisions.

3. SCHEDULE INDEX

The following schedules are established and may be completed, attached and executed by the parties. Each Schedule entry below must state the Schedule title, a concise description, its effective date, and how it is labeled or stored.

4. DELIVERY AND AMENDMENT OF SCHEDULES

Each Schedule shall be delivered in writing and executed by authorized representatives of the parties. An amendment to any Schedule shall be effective only if reduced to writing, signed by authorized representatives of both parties, and explicitly identified as an amendment to the Schedule by title and effective date. Unless otherwise agreed, the receiving party shall have Amendment Review Period: business days to accept or reject a proposed amendment.

5. CONFIDENTIALITY

All information disclosed in, or in connection with, any Schedule that is designated as confidential or that by its nature is reasonably understood to be confidential shall be subject to the confidentiality obligations set forth in the Master Agreement. The parties acknowledge that the obligation of confidentiality includes specific handling, storage and destruction procedures as applicable to Schedule materials.

6. INTELLECTUAL PROPERTY

Unless otherwise specified in a Schedule, each party retains all right, title and interest in and to its pre-existing intellectual property. Any intellectual property developed specifically pursuant to a Schedule shall be owned as set forth in the applicable Schedule; in the absence of a contrary provision, Contractor grants Client a non-exclusive, royalty-free license to use deliverables for the purposes set forth in the applicable Schedule.

7. REPRESENTATIONS; WARRANTIES

Each party represents and warrants that (a) it has full power and authority to enter into and perform its obligations under any Schedule, and (b) the execution and delivery of any Schedule has been duly authorized by all necessary corporate or other action.

8. INDEMNIFICATION

To the extent permitted by applicable law, each party shall indemnify, defend and hold harmless the other party from and against any third party claims arising out of the indemnifying party's breach of a Schedule, gross negligence, willful misconduct, or infringement of third party intellectual property rights in connection with performance under a Schedule.

9. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct, gross negligence, or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages arising out of or related to any Schedule, even if advised of the possibility of such damages.

All notices relating to Schedules shall be sent to the addresses set forth below (or such other address as either party may designate by notice):

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of a Schedule shall be effective unless it is in writing and executed by authorized representatives of both parties. A waiver by either party of any breach shall not operate or be construed as a waiver of any subsequent breach. This Schedules Template and any Schedule may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Schedules Template shall be governed by and construed in accordance with the laws of Governing State: without regard to its conflicts of law principles. This Schedules Template, together with the Master Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. If any provision of a Schedule is held invalid or unenforceable, the remainder of such Schedule and the Master Agreement shall remain in full force and effect.

13. ADMINISTRATIVE DETAILS

The parties agree to maintain a Schedule Log that records each Schedule title, execution date, effective date, and location. The parties further agree that a scanned or electronic copy of an executed Schedule shall be admissible as evidence of the Schedule's terms.
