LEGAL SCOPE — REVISED SCOPE AGREEMENT

This Revised Scope Agreement (the "Revised Scope") is entered into as of Effective Date: by and between Client Name: with principal place of business at Address: , and Contractor Name: with principal place of business at Address: .

RECITALS

WHEREAS, the parties entered into a Services Agreement dated (the "Agreement") pursuant to which Contractor provides services to Client; and

WHEREAS, the parties now desire to revise and clarify the scope of work, deliverables, schedule and any related compensation as set forth in this Revised Scope; and

WHEREAS, unless expressly modified herein, all terms and conditions of the Agreement remain in full force and effect.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. REVISED SCOPE OF WORK

1.1 Scope. Contractor shall perform the services described in the Revised Scope of Work below (the "Revised Scope") in accordance with the terms of the Agreement as amended by this Revised Scope. The Revised Scope supersedes and replaces any prior, inconsistent description of services for the matters specifically addressed herein.

1.2 Deliverables and Acceptance. Contractor shall deliver written deliverables or tangible outputs as described below. Each deliverable shall be subject to Client's acceptance testing in accordance with the Acceptance Criteria described in Section 5.

2. COMPENSATION

2.1 Fees. In consideration for the performance of the Revised Scope, Client shall pay Contractor the fees set forth below. Any changes to compensation shall be effective only if set forth in a written change order executed by both parties.

3. CHANGE ORDERS

3.1 Procedure. Any amendment to the Revised Scope that affects schedule, price, or performance obligations shall be documented in a written change order signed by authorized representatives of both parties. No act, omission or course of dealing shall constitute an effective modification absent such a signed change order.

3.2 Emergencies. In the event of an emergency requiring immediate action, Contractor may take reasonable steps to protect work in progress, provided Contractor notifies Client promptly and submits a proposed change order for approval within five (5) business days.

6.1 Ownership. Unless otherwise agreed in writing, Contractor shall retain ownership of Contractor's pre-existing tools, methodologies, software and materials. All client-specific deliverables created solely for Client under this Revised Scope and paid for in full shall be assigned to Client upon payment, subject to Contractor's retained rights in underlying tools and general know-how.

6.2 License. To the extent Contractor retains any intellectual property rights in the deliverables, Contractor grants Client a non-exclusive, worldwide, royalty-free license to use such Contractor-owned materials solely for Client's internal business purposes.

7. CONFIDENTIALITY

7.1 Confidential Information. The parties acknowledge that the Agreement contains mutual confidentiality obligations which shall continue to apply to any information exchanged in connection with the Revised Scope. Each party shall protect Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care.

8. WARRANTIES; DISCLAIMER

8.1 Contractor Warranties. Contractor warrants that it will perform the Revised Scope in a professional and workmanlike manner consistent with industry standards. Contractor does not warrant that deliverables will be error-free or meet Client's objectives beyond the express acceptance criteria.

8.2 DISCLAIMER. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION, CONTRACTOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. LIMITATION OF LIABILITY

Except as required by law or resulting from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages arising from the Revised Scope. The aggregate liability of each party for claims arising out of or related to this Revised Scope shall not exceed the total fees paid or payable under this Revised Scope during the three (3) month period preceding the claim.

10. TERM AND TERMINATION

10.1 Term. The Revised Scope shall commence on the Effective Date and continue until completion of the Revised Scope or earlier termination in accordance with the Agreement.

10.2 Termination. Either party may terminate this Revised Scope in accordance with the termination provisions of the Agreement. Termination of the Revised Scope shall not relieve Client of its obligation to pay for services performed and reimbursable expenses incurred through the effective date of termination.

11. NOTICES

All notices required or permitted under this Revised Scope shall be given in writing to the addresses set forth below (or such other address as a party may designate by notice). Notices shall be deemed delivered when delivered in person, by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid.

12. AMENDMENTS; WAIVER

This Revised Scope may be amended only by a written instrument signed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought.

13. GOVERNING LAW

This Revised Scope shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

14. ENTIRE AGREEMENT

This Revised Scope, together with the Agreement and any exhibits or schedules referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

15. SEVERABILITY

If any provision of this Revised Scope is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to substitute a valid provision that most nearly effects the parties' original intent.

16. COUNTERPARTS
