What the Legal Script Coordinator Agreement Covers

The Legal Script Coordinator Agreement is a written contract that sets terms between a hiring party (such as a law firm, litigation support provider, or production company) and an individual or firm retained to prepare, manage, or coordinate legal scripts, deposition question sets, hearing outlines, courtroom presentation materials, or related deliverables. It defines scope of work, deliverables, timelines, fees, confidentiality, intellectual property assignment, warranties, and dispute resolution. The agreement also documents responsibilities for revisions and approvals and establishes how electronic execution and record retention will be handled under applicable U.S. law.

Why Use a Formal Agreement for Script Coordination

A clear agreement allocates responsibilities, protects confidential client materials, assigns intellectual property where appropriate, and sets payment and termination terms. Precise contract language reduces the risk of disputes and supports regulatory compliance, including electronic execution under ESIGN and applicable state law.

Why Use a Formal Agreement for Script Coordination

Who Typically Uses This Agreement

Common users include legal teams and external specialists who need documented responsibilities and permissions before work begins.

  • Law firms and litigation support teams coordinating deposition scripts, trial exhibits, and courtroom presentations.
  • Independent script coordinators and freelance consultants who prepare question sets, hearing outlines, and demonstrative exhibits.
  • Production companies and legal publishers preparing annotated transcripts, training materials, or court-ready video scripts.

Use the agreement to record consent for electronic signatures where permitted by ESIGN and to ensure each party understands confidentiality, delivery schedules, and payment milestones.

Who Signs and What Each Party Represents

Hiring Party

The hiring party (law firm, corporate legal department, or production company) should identify authority to approve scripts, provide required source materials, and confirm payment terms. The hiring party also warrants that sharing source materials does not violate third-party rights and will obtain necessary client consents when applicable.

Coordinator

The coordinator (individual contractor or service provider) agrees to perform defined deliverables, meet delivery schedules, maintain confidentiality, assign or license intellectual property as specified, and comply with applicable professional rules and data-protection requirements.
