RECITALS

WHEREAS, Certifying Party desires to make the certifications set forth herein and to confirm its authority to bind itself with respect to such certifications.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

For the purposes of this Certification, the following terms shall have the meanings set forth below. "Applicable Law" means any federal, state, local or foreign statute, regulation, rule, ordinance or legally binding requirement; "Confidential Information" means information designated as confidential by either party or that reasonably should be understood to be confidential.

2. CERTIFICATIONS AND REPRESENTATIONS

Certifying Party hereby certifies, represents and warrants to Recipient, as of the Effective Date and continuing until revoked in writing, the following:

Authority. Certifying Party has the full corporate or individual power and authority to execute, deliver and perform this Certification and the person signing on behalf of Certifying Party has been duly authorized to do so.

Accuracy of Information. All information, statements and documents provided to Recipient in connection with this Certification are true, complete and correct in all material respects and do not omit to state any material fact necessary to make the statements not misleading.

Compliance with Laws. Certifying Party is in compliance with all Applicable Law material to the matters certified herein and is not subject to any outstanding criminal judgment, sanction, or material regulatory enforcement action that would materially impair its ability to perform.

No Conflict. The execution, delivery and performance of this Certification does not and will not violate any contract, agreement, judgment or order binding on Certifying Party.

Beneficial Ownership and Sanctions. To the best of Certifying Party's knowledge, no beneficial owner or any person with controlling interest is subject to sanctions or otherwise excluded from participation in transactions under Applicable Law.

3. COVENANTS

Certifying Party covenants that it shall promptly notify Recipient in writing of any material change in any fact or circumstance that would render any certification or representation contained herein inaccurate or incomplete. Notification shall be provided no later than ten (10) business days following the occurrence of such change.

4. RELIANCE; USE OF CERTIFICATION

Recipient may rely upon the certifications and representations in this Certification in taking any action, making any decision, or maintaining any file, record or relationship. Recipient's reliance shall be reasonable and Recipient may request such additional documentary evidence as it reasonably deems necessary to verify the matters certified herein.

5. INDEMNIFICATION

Certifying Party agrees to indemnify, defend and hold harmless Recipient and its officers, directors, employees and agents from and against any and all losses, claims, liabilities, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of a representation, warranty or covenant contained in this Certification.

6. REMEDIES; SURVIVAL

The remedies provided in this Certification are cumulative and not exclusive of any remedies available at law or in equity. The representations, warranties and indemnities contained herein shall survive termination of any related transaction or relationship for a period of three (3) years, except where a longer period is required by Applicable Law.

7. NOTICES

All notices, requests, demands and other communications under this Certification shall be in writing and delivered to the addresses provided below. Notices are effective upon delivery or, if mailed, three (3) business days after deposit with a nationally recognized courier.

8. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Certification shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This Certification may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Certification shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below without regard to conflict of law principles. If any provision of this Certification is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. This Certification constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements.
