3. DISCLOSURES

The Declarant agrees to indemnify, defend and hold harmless the Requesting Party, its affiliates and their respective officers, directors, employees and agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any misrepresentation or breach of a warranty made by the Declarant in this Declaration.

7. NOTICES

All notices required or permitted under this Declaration shall be in writing and delivered to the addresses set forth below or to such other address as a party may specify in writing.

8. AMENDMENTS; WAIVER

No amendment or waiver of any provision of this Declaration shall be effective unless made in a writing signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

9. GOVERNING LAW

This Declaration shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles.

10. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS
