What the Legal Sellers Resolutions Agreement Is

A Legal Sellers Resolutions Agreement is a corporate document recording authorizations and approvals by a seller’s governing body—typically a board of directors or authorized managers—relating to a specific transaction such as a sale of assets, equity transfer, or other disposition. It memorializes the corporate decision, identifies authorized signers, confirms compliance with governing documents and laws, and allocates responsibility for closing steps. The agreement serves both internal corporate recordkeeping and external counterpart assurance by demonstrating that the seller had the requisite authority to enter the transaction.

Why this resolution matters for transactions

A properly drafted Legal Sellers Resolutions Agreement reduces closing friction by confirming corporate authority, limiting later challenges, and creating a clear audit trail for signatories and counterparties.

Why this resolution matters for transactions

Who typically prepares and signs this resolution

Corporate counsel, company officers, and closing teams prepare the resolution to document formal approval and designate authorized signers.

  • Board members and corporate officers: confirm and record approvals for the sale.
  • Company secretary or corporate counsel: prepare and certify minutes and resolutions.
  • Buyers, lenders, escrow agents: request the resolution as evidence during closing.

Counterparties, escrow agents, lenders, and title professionals rely on the document during due diligence and closing to verify authority.

Representative signers and their roles

Company Secretary

The corporate secretary or recordkeeper certifies that minutes and resolutions accurately reflect board actions, maintains the official corporate minute book, and signs certifications attesting to authenticity when requested by counterparties.

Authorized Officer

An officer (CEO, CFO, or other designated executive) executes documents on behalf of the seller after board authorization and accepts responsibility for performance and closing deliverables.

Core elements to include in the resolution

A comprehensive Legal Sellers Resolutions Agreement contains language that ties corporate approval to specific transaction documents, identifies authority, and clarifies post-closing obligations.

Approval Language

A clear statement that the board or managers approved the specific transaction and authorized execution of defined documents, exhibiting corporate intent and scope.

Designated Signatories

Names and titles of individuals authorized to sign, including any limits on amounts, scope, or need for countersignatures, to bind the seller legally.

Reference to Transaction Documents

Enumerate the purchase agreement, ancillary agreements, escrow instructions, and schedules that the resolution authorizes the seller to sign.

Authorization Conditions

Any conditions precedent to effectiveness (consents, regulatory approvals, third-party waivers) and the manner of certification of their satisfaction.

Recordkeeping Clause

Statement directing the corporate secretary to enter the resolution into the minute book and provide certified copies upon request.

Effective Date and Governing Law

Specify the effective date and the governing state law that will interpret the resolution and resolve disputes.

Frequent preparation mistakes to avoid

  • Using informal language that does not tie approval to specific transaction documents, which can invite interpretation disputes.
  • Failing to list exact signatory titles and limits, causing counterparties to refuse acceptance of unsigned or uncertified copies.
  • Not attaching or referencing the governing formation documents or bylaws, which may be required to validate authority during diligence.
  • Omitting certification by the corporate secretary or failing to provide a certified copy when the buyer or lender requests proof.
