LEGAL SERVICE ADDENDUM

This Legal Service Addendum (the Addendum) is entered into as of , by and between Client Name: whose principal address is , and Service Provider: whose principal address is .

RECITALS

WHEREAS, the parties entered into a contractual arrangement titled dated , (the Original Agreement); and

WHEREAS, the parties desire to amend and supplement the Original Agreement to specify additional legal services, associated fees, and related terms as set forth in this Addendum; and

WHEREAS, capitalized terms used and not otherwise defined in this Addendum shall have the meanings set forth in the Original Agreement unless expressly defined below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Additional Services" means the legal services to be provided by Service Provider under this Addendum, including but not limited to the tasks described below and any related advisory work.

2. SCOPE OF SERVICES

2.1 Service Provider shall perform the Additional Services described above in a professional and timely manner consistent with industry standards and the professional obligations applicable to attorneys. Service Provider shall allocate sufficient personnel and resources to meet agreed milestones and deliverables.

3. TERM AND TERMINATION

3.1 This Addendum shall commence on the effective date set forth above and shall continue until , unless earlier terminated in accordance with this Section.

3.2 Either party may terminate this Addendum for convenience upon providing the other party with no less than days' prior written notice. Termination for cause may be exercised immediately upon material breach that is not cured within thirty (30) days after written notice specifying the breach.

4. FEES, EXPENSES AND PAYMENT

4.1 Client shall pay Service Provider fees for Additional Services as follows: a fixed fee or hourly rate as indicated below and for reimbursable expenses incurred in connection with the performance of the Additional Services.

5. CONFIDENTIALITY

5.1 Each party shall maintain in confidence all confidential information disclosed by the other party and shall not use such information except as necessary to perform its obligations under this Addendum. Confidential information does not include information that is (a) publicly known through no breach of this Addendum, (b) rightfully received from a third party without restriction, or (c) independently developed without use of or reference to the other party's confidential information.

5.2 Service Provider acknowledges that Client may disclose privileged or sensitive material. Service Provider shall take all commercially reasonable measures to preserve attorney-client privilege and shall immediately notify Client if compelled to disclose privileged communications.

6. INTELLECTUAL PROPERTY

6.1 Unless otherwise agreed in writing, all client materials provided to Service Provider shall remain the property of Client. Subject to Client's ownership of its materials, the parties agree that deliverables specifically created for Client and paid in full under this Addendum shall be considered work made for hire and Client shall own all right, title and interest in such deliverables. To the extent ownership cannot vest automatically, Service Provider hereby assigns to Client all right, title and interest in such deliverables.

6.2 Service Provider retains all rights in its pre-existing methodologies, templates and know-how. Use of such retained materials by Client is limited to the license expressly granted in writing for the purposes of this engagement.

7. REPRESENTATIONS; COMPLIANCE

7.1 Each party represents and warrants that it has the full corporate or organizational power to enter into this Addendum and to perform its obligations hereunder. Service Provider represents that it will perform services in compliance with applicable laws, rules of professional conduct, and court orders.

8. INDEMNIFICATION

8.1 Service Provider shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Service Provider's breach of this Addendum, gross negligence, willful misconduct, or material violation of law in connection with the performance of the Additional Services.

8.2 Client shall indemnify, defend and hold harmless Service Provider from claims arising out of Client's breach of this Addendum, misuse of deliverables, or provision of false or misleading information to Service Provider.

9. LIMITATION OF LIABILITY

9.1 Except for liability arising from wilful misconduct, gross negligence, or indemnification obligations under Section 8, in no event shall either party be liable for special, consequential, incidental or punitive damages. The aggregate liability of Service Provider for any claim arising out of or relating to this Addendum shall not exceed the amount of fees actually paid by Client to Service Provider for the Additional Services under this Addendum during the twelve (12) month period preceding the event giving rise to the claim, or , whichever is less.

10. INSURANCE

10.1 Service Provider shall maintain and carry professional liability insurance with limits of not less than per claim and shall provide proof of such insurance upon Client's request.

11. NOTICES

11.1 All notices, requests, consents and other communications required or permitted under this Addendum shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

12. AMENDMENTS; WAIVER

12.1 No amendment, modification or waiver of any provision of this Addendum shall be effective unless made in writing and signed by authorized representatives of both parties. The waiver by either party of a breach of any provision shall not operate or be construed as a waiver of any subsequent breach.

13. COUNTERPARTS; ELECTRONIC SIGNATURES

13.1 This Addendum may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be binding and admissible for all purposes.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

14.2 This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to such subject matter.

14.3 If any provision of this Addendum is held to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith a valid substitute provision that reflects the parties' intent.

15. MISCELLANEOUS

15.1 Except as expressly modified by this Addendum, the Original Agreement remains in full force and effect. In the event of any conflict between the terms of this Addendum and the Original Agreement, the terms of this Addendum shall govern solely with respect to the subject matter modified herein.
