LEGAL SERVICE ADMISSION FORM

RECITALS

WHEREAS, Client seeks admission of Provider to render legal services in connection with the matter described as: ; and

WHEREAS, Provider has represented to Client that Provider is duly qualified and authorized to perform the services described herein and has disclosed known conflicts of interest in writing to Client; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding admission and the performance of legal services.

NOW, THEREFORE

In consideration of the mutual promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SCOPE OF SERVICES

Provider shall perform legal services as agreed for the matter identified above, including but not limited to representation, pleadings, hearings, negotiations, and related legal counsel. The specific tasks, milestones, and limitations of representation are described below:

2. CLIENT AUTHORITY AND OBLIGATIONS

Client hereby authorizes Provider to take actions reasonably necessary for the prosecution or defense of the matter, to appear on Client's behalf before tribunals, to execute filings and settlements subject to Client approval when required, and to incur reasonable costs. Client shall provide truthful information, cooperate fully, attend required meetings and proceedings, and timely provide documents and instructions.

3. FEES, RETAINER AND BILLING

Client agrees to compensate Provider in accordance with the billing arrangement selected below. Provider's rates and billing practices shall be reasonable and are subject to change upon notice to Client. Billing statements will include time, activity descriptions, and itemized disbursements.

4. COSTS AND DISBURSEMENTS

Client shall reimburse Provider for all reasonable costs and disbursements incurred on Client's behalf, including filing fees, courier and postage, expert fees, deposition costs, travel, and other out-of-pocket expenditures. Provider may require payment of costs in advance into a trust or operating account.

5. CONFLICTS OF INTEREST

Client represents that Client has disclosed all known facts that might reasonably give rise to a conflict. Provider shall notify Client of any material conflict discovered. If a conflict arises that cannot be waived, Provider may withdraw in accordance with applicable professional rules and this Agreement.

6. CONFIDENTIALITY AND ATTORNEY-CLIENT PRIVILEGE

Communications between Client and Provider are privileged and confidential to the extent recognized by law. Provider shall maintain the confidentiality of Client information except as authorized by Client or required by law. Client acknowledges that Provider may disclose necessary information to employees, consultants, or retained experts under obligations of confidentiality.

7. TERMINATION

Either party may terminate this Agreement upon written notice. Client remains liable for fees and costs incurred through the date of termination and for reasonable wind-up costs. Provider will take reasonable steps to protect Client interests upon termination but shall have no obligation to continue representation without payment of outstanding fees and retainer replenishment.

8. LIMITATION OF LIABILITY AND INDEMNITY

To the fullest extent permitted by law, Provider's liability for professional services is limited to direct damages not to exceed amounts paid by Client to Provider for the services giving rise to the claim. Provider shall not be liable for indirect, special, consequential, or punitive damages. Client agrees to indemnify and hold Provider harmless from third-party claims arising from Client's instructions or omissions.

9. RECORDS, FILES, AND RETENTION

Provider will retain Client files and records in accordance with Provider's record-retention policy. Original documents provided by Client will be returned upon request. Provider may, at Provider's option, destroy closed-file materials after a reasonable retention period unless Client provides written instruction to the contrary.

10. NOTICES

Formal notices required under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or courier and shall be effective upon receipt.

11. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved first by good-faith negotiation, and if unresolved, through binding arbitration or litigation as selected by Provider in the forum permitted by applicable law.

12. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY; WAIVER

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings. No amendment shall be effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force. Failure to enforce any provision is not a waiver of future enforcement.

13. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
