LEGAL SERVICE AWARD AGREEMENT

This Legal Service Award Agreement (the Agreement) is made as of between Client Name: with principal address at ("Client"), and Awardee Name: with principal address at ("Awardee").

RECITALS

WHEREAS, Client requires certain legal services and desires to recognize and formally award the provision of those services to Awardee under the terms set forth herein;

WHEREAS, Awardee possesses the experience, professional qualifications, and licensure necessary to provide the legal services described in this Agreement and is willing to perform such services on the terms and conditions set forth below;

WHEREAS, Client and Awardee desire to set forth their agreements regarding scope, compensation, confidentiality, and other matters related to the award of services.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

In this Agreement, the following terms shall have the meanings set forth below unless the context otherwise requires:

"Services" means the legal services described in Section 2 and in Exhibit A attached hereto, if any. "Deliverables" means documents, memoranda, filings, advice, and other tangible outputs produced by Awardee pursuant to the Services.

2. AWARD AND SCOPE OF SERVICES

Awardee shall provide legal services to Client as described in the scope below and any attached exhibits. Awardee shall perform the Services in a timely, professional manner consistent with applicable standards of practice and in compliance with all applicable laws and professional conduct rules.

3. TERM; TERMINATION

The term of this Agreement shall commence on and continue until unless earlier terminated in accordance with this Section. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

4. COMPENSATION; EXPENSES

As full compensation for the Services, Client shall pay Awardee the fees set forth below. All fees are payable in U.S. dollars and are exclusive of any applicable taxes.

Awardee shall submit invoices reasonably detailed by task and hours or by milestone. Client shall pay undisputed amounts within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

5. CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party any Confidential Information of the other party, except as required by law or as necessary to perform the Services. "Confidential Information" means non-public information disclosed in connection with this Agreement, including privileged communications, business plans, and client data. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except for information constituting attorney-client privileged communications which shall remain subject to applicable privilege rules.

6. CONFLICTS OF INTEREST; ETHICS

Awardee represents that, to the best of Awardee's knowledge, there are no conflicts of interest that would prevent Awardee from undertaking the Services. Awardee shall promptly notify Client if a conflict arises. Awardee shall comply with all applicable rules of professional conduct and shall not disclose privileged communications except as authorized by Client or required by law.

7. INTELLECTUAL PROPERTY; WORK PRODUCT

Unless otherwise expressly agreed in writing, all Deliverables prepared by Awardee in the performance of the Services shall be the exclusive property of Client. Awardee hereby assigns to Client all right, title and interest in such Deliverables. Notwithstanding the foregoing, Awardee shall retain ownership of its general know-how, methodologies, and materials developed independently of the Services.

8. INDEMNIFICATION; INSURANCE

Awardee shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against any third-party claims arising out of Awardee's gross negligence, willful misconduct, or breach of this Agreement. Client shall indemnify Awardee for liabilities arising from Client's material breach or willful misconduct.

9. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Awardee further represents that Awardee is duly licensed to practice law where required to provide the Services and will maintain such licensure for the term of this Agreement.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality or indemnification obligations, neither party shall be liable to the other for any indirect, incidental, consequential, special or punitive damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Awardee under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered personally, by certified mail (return receipt requested), by nationally recognized overnight courier, or by email with confirmation of receipt to the addresses set forth below or to such other address as a party may designate in writing.

12. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in a writing signed by both parties. The waiver by either party of a breach of any provision shall not operate as a waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original, and facsimile or electronic signatures shall have the same effect as original signatures.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect its interpretation. The parties agree to cooperate and execute such further documents as may be reasonably necessary to effectuate the purposes of this Agreement.
