What the Legal Services SPA Opalus Is

Legal Services SPA Opalus is a standardized engagement agreement template used to retain outside counsel or legal service providers for transactional matters, including SPA-related advisory work. The form defines parties, scope of services, fee and retainer arrangements, deliverables, confidentiality and privilege protections, conflict disclosures, indemnities, and termination rights. It accommodates exhibits and schedules, is structured for electronic execution, and when executed consistent with ESIGN/UETA requirements creates enforceable contractual obligations between client and counsel.

Why use this Legal Services SPA Opalus

The Legal Services SPA Opalus standardizes engagement terms, clarifies billing and deliverables, and reduces negotiation cycles. It documents conflict checks and confidentiality expectations, supports enforceability under the ESIGN Act (15 U.S.C. §7001) and UETA where applicable, and is formatted for reliable electronic execution and audit trails.
