LEGAL SESSION CONTRACT

This Legal Session Contract (the "Agreement") is entered into on this day of , between Provider Name: ("Provider") and Client Name: ("Client").

RECITALS

WHEREAS, Provider offers legal consultation services including one-time or limited-scope advisory sessions on legal matters and Client desires to obtain a defined legal session from Provider; and

WHEREAS, the parties wish to set forth the terms under which Provider will deliver a legal session, including scope, fees, confidentiality and limitations of liability; and

WHEREAS, the parties intend that this Agreement governs only the single session(s) described herein and does not, except as expressly stated, create an ongoing attorney-client engagement for representation beyond the session.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SERVICES

1.1 Scope. Provider shall provide a legal advisory session limited to the matters described as: . The session shall consist of legal advice, information and recommendations delivered orally and, if agreed, in writing summarizing key points.

1.2 Session Date and Duration. The scheduled session will occur on day of , and will last approximately .

2. FEES AND PAYMENT

2.1 Session Fee. Client shall pay Provider a fee for the session in the amount of $ (the "Fee"). Payment of the Fee is due as follows: .

2.2 Expenses and Taxes. Client shall be responsible for reasonable out-of-pocket expenses approved in advance and any applicable taxes relating to services provided hereunder.

2.3 Late Payment. Any amounts not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and Provider may suspend services until past due amounts are paid.

3. CONFIDENTIALITY AND PRIVILEGE

3.1 Privileged Communications. To the extent applicable, communications between Provider and Client that satisfy the elements of attorney-client privilege or other protective doctrines shall be maintained as confidential by Provider and Client, subject to the limitations in this Agreement.

3.2 Exceptions. Confidentiality and privilege do not extend to disclosures required by law, court order, ethical obligations, or communications that concern the planning or commission of a future crime or fraud. Provider may disclose necessary information to protect Provider's rights under this Agreement.

4. LIMITATION OF ENGAGEMENT

4.1 Limited Scope. Client acknowledges that the services provided under this Agreement constitute a limited-scope engagement for a single session or series of sessions expressly identified and do not create an ongoing attorney-client relationship for future matters unless a separate written engagement agreement is executed.

4.2 No Guarantee. Provider does not guarantee any particular result or outcome. Any estimates of outcomes are expressions of opinion based on the information known at the time.

5. CONFLICTS OF INTEREST

Provider represents that, to Provider's knowledge after reasonable inquiry, there are no conflicts that would prevent Provider from providing the session. If a conflict is later discovered that materially affects Provider's ability to act, Provider will notify Client promptly and recommend appropriate steps.

6. CANCELLATION AND RESCHEDULING

6.1 Cancellation. Client may cancel or reschedule the session provided Client gives Provider at least days' notice. If Client cancels with less than the required notice, Provider may retain up to $ as a cancellation fee.

6.2 Rescheduling. Provider will use reasonable efforts to accommodate rescheduling requests subject to availability.

7. RECORDS AND FILES

7.1 Client Materials. Client shall provide complete and accurate information and documents necessary for Provider to render the session. Provider shall retain files and records in accordance with Provider's document retention policies, subject to applicable law. Physical file transfer requests may be subject to copying fees.

8. LIMITATION OF LIABILITY

8.1 Limitation. Except for willful misconduct or gross negligence, Provider's liability for any claim arising out of or related to this Agreement shall be limited to direct damages not to exceed the total Fees actually paid by Client under this Agreement. In no event shall Provider be liable for consequential, incidental, punitive or special damages.

9. TERMINATION

Either party may terminate this Agreement for convenience upon written notice to the other. Termination will not relieve Client of the obligation to pay fees and expenses accrued through the termination date.

10. NOTICES

Notices shall be in writing and deemed given when delivered in person, when sent by certified mail (return receipt requested), or upon confirmation of delivery of an electronic transmission if sent to an address provided above.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the substantive laws of the State specified here: without regard to principles of conflicts of law. Any action arising out of this Agreement shall be brought exclusively in the state or federal courts located in the jurisdiction specified above.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements, representations and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
