Entire Agreement: This Declaration, together with any attachments expressly incorporated herein, constitutes the entire understanding between the parties with respect to the subject matter and supersedes all prior statements, agreements, or understandings, whether oral or written, relating thereto.

Severability: If any provision of this Declaration is determined to be invalid or unenforceable, such provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect.

Amendments and Waiver: Any amendment or waiver must be made in writing and signed by the party against whom enforcement is sought. No failure or delay in exercising any right shall operate as a waiver thereof.

Counterparts: This Declaration may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
