6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to enter into this Breakdown, that the information provided regarding liens and allocations is true and correct to the best of its knowledge, and that execution of this Breakdown does not violate any other agreement to which a party is subject.

7. RELEASE CONDITIONED ON PAYMENT

Nonpayment or insufficient funds shall permit the affected party to pursue any remedies provided in the settlement agreement or at law.

9. AMENDMENT, WAIVER, COUNTERPARTS
