RECITALS

NOW, THEREFORE

In consideration of the mutual covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. CERTIFICATION OF SETTLEMENT

1.1 Settlement. The Parties certify that they have reached a settlement of the Dispute on the material terms set forth in this Certificate and in the attached settlement terms. The Parties acknowledge that this Certificate constitutes conclusive evidence of the settlement and their mutual intent to be bound.

1.2 Binding Effect. Upon execution and, where applicable, satisfaction of any conditions precedent herein, the settlement shall be final, binding and enforceable against each Party, their successors and permitted assigns.

2. PAYMENT TERMS

2.1 Settlement Amount. Respondent shall pay to Claimant the total gross settlement amount of $ (the "Settlement Amount") in accordance with the schedule set forth below.

3.1 Mutual Release. Subject to receipt of the Settlement Amount as provided herein, each Party, on behalf of itself and its past and present affiliates, agents, employees, insurers, predecessors, successors and assigns, hereby releases and forever discharges the other Party and its affiliates, agents, employees and insurers from any and all claims, demands, liabilities, causes of action and damages, whether known or unknown, asserted or unasserted, that arise out of or relate to the Dispute.

3.2 Exceptions. The release shall not extend to obligations expressly set forth in this Certificate, criminal liability, or claims that cannot be waived as a matter of law.

4. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it has full power and authority to execute and deliver this Certificate and to perform its obligations hereunder; (b) execution and delivery have been duly authorized by all necessary action; and (c) upon execution, this Certificate shall constitute a valid and binding obligation enforceable in accordance with its terms.

5. CONFIDENTIALITY

Except as required by law or as necessary to enforce the terms of this Certificate, the Parties shall keep the existence, terms and facts of the settlement strictly confidential. Authorized disclosures may be made to legal counsel, tax advisors or insurance carriers bound by similar confidentiality obligations.

The Parties agree that any breach of this confidentiality provision shall cause irreparable harm for which monetary damages may be inadequate and that equitable relief shall be available in addition to any other remedies.

6. TAX MATTERS

Each Party is solely responsible for reporting and paying any taxes arising from payments under this Certificate. The Parties agree to cooperate in good faith to determine any tax withholding obligations and to provide required tax documentation.

7. ENFORCEMENT; REMEDIES

In the event of a breach of this Certificate, the non-breaching Party shall be entitled to pursue all remedies available at law or in equity, including specific performance and injunctive relief. The prevailing party in any enforcement action shall be entitled to recover reasonable attorneys' fees and costs.

8. NOTICES

Any notice required or permitted under this Certificate shall be in writing and delivered to the Parties at the addresses below:

Notices shall be deemed delivered on receipt if delivered personally, on the next business day if sent by overnight courier, or three business days after mailing if sent by certified mail, return receipt requested.

9. AMENDMENT; WAIVER; COUNTERPARTS

This Certificate may be amended only by a writing signed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right. This Certificate may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; VENUE

This Certificate shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The Parties consent to exclusive jurisdiction and venue of the state and federal courts located within the selected jurisdiction for any dispute arising under this Certificate.

11. ENTIRE AGREEMENT; SEVERABILITY

This Certificate, together with any related settlement schedules and exhibits, constitutes the entire agreement between the Parties with respect to the settlement of the Dispute and supersedes all prior agreements, negotiations and understandings. If any provision of this Certificate is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
