LEGAL SETTLEMENT CORRECTIONS TEMPLATE

1. DEFINITIONS

For purposes of this Correction, capitalized terms used but not defined herein shall have the meanings given to them in the Original Agreement. Where used herein, "Correction Effective Date" means the date specified in Section 3 of this Correction.

2. CORRECTIONS

The Parties agree that the following corrections and clarifications are made to the Original Agreement. Each item below constitutes an express amendment to the Original Agreement to the extent it conflicts therewith.

3. EFFECTIVE DATE

This Correction shall become effective on the Correction Effective Date which is: (the "Correction Effective Date").

4. PAYMENT AND PERFORMANCE ADJUSTMENTS

If the correction affects payment terms or performance deadlines, the Parties agree the Original Agreement is amended as follows. Any new monetary amounts, schedules, or deadlines below supersede the corresponding provisions of the Original Agreement.

5. RELEASE MODIFICATIONS

The Parties acknowledge that the Original Agreement contained mutual releases. Except as expressly amended by this Correction, such releases remain in full force and effect. To the extent a release provision is inconsistent with this Correction, the release is modified only to the extent necessary to effectuate the corrections set forth herein.

6. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it has full power and authority to enter into and perform this Correction; (b) the individual signing on its behalf is duly authorized; (c) this Correction constitutes a valid and binding obligation enforceable against such Party in accordance with its terms; and (d) execution of this Correction does not violate any agreement or order to which it is subject.

7. CONFIDENTIALITY

The Parties confirm that the confidentiality provisions of the Original Agreement remain in effect and govern the disclosure of the existence, terms, and execution of this Correction except as otherwise required by law or court order. Confidentiality obligations shall survive termination or expiration of the Original Agreement and this Correction for the period specified in the Original Agreement or, if none, for a period of years.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Correction shall be in writing and shall be delivered in the manner provided in the Original Agreement or, if not provided, to the addresses below.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Correction may be amended only by a written instrument executed by all Parties. No waiver of any breach or default shall be deemed a waiver of any other or subsequent breach or default. This Correction may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding for all purposes.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Correction shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. If any provision of this Correction is held invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. This Correction, together with the Original Agreement, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral, relating to that subject matter.

11. ATTORNEYS' FEES AND COSTS

In the event of any dispute arising out of or relating to this Correction, the prevailing Party shall be entitled to recover reasonable attorneys' fees and costs incurred in enforcing its rights, in addition to any other relief to which it may be entitled.

12. OTHER PROVISIONS

Except as expressly modified by this Correction, the Original Agreement remains in full force and effect. Where a conflict exists between the terms of this Correction and the Original Agreement, the terms of this Correction shall control.
