LEGAL SETTLEMENT DIRECTION FORM

RECITALS

Payor shall deliver the Settlement Proceeds in accordance with this Direction to the payee identified in Section 4. This Direction constitutes an instruction and authorization for Payor to disburse funds and to make deductions only as expressly provided herein. Payor shall have no duty to make any payments other than as expressly directed herein.

3. SETTLEMENT AMOUNT AND AUTHORIZED DEDUCTIONS

3.1 Gross Settlement Amount: The gross Settlement Proceeds shall be $.

8. INDEMNIFICATION

Claimant and Payor agree to indemnify and hold each other harmless from and against any and all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the representations, warranties or obligations contained in this Direction, except to the extent caused by the indemnitee's gross negligence or willful misconduct.

9. CONFIDENTIALITY

Except as required by law or court order, the parties shall keep the terms of the settlement and this Direction confidential. This confidentiality obligation does not restrict disclosure to the parties' legal and financial advisors on a need-to-know basis, provided those advisors are bound by similar confidentiality obligations.

10. NOTICES

All notices required or permitted under this Direction shall be in writing and shall be delivered to the addresses set forth below. Notices shall be deemed given when received by certified mail, hand delivery, or overnight courier.

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Direction may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving enforcement. This Direction may be executed in counterparts, each of which shall be an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Direction shall be governed by and construed in accordance with the substantive laws of the state identified for governing law: without regard to its conflicts of law principles. This Direction constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations and agreements. If any provision of this Direction is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
