RECITALS

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

1. DEFINITIONS

"Settlement Funds" means the gross amount to be disbursed by Payor in full satisfaction of the settlement identified above. "Payee" means each recipient identified in the Disbursement Schedule. "Escrow Agent" means the entity designated to hold funds pending disbursement pursuant to this Agreement.

2. DISBURSEMENT SCHEDULE

The Payor shall disburse the Settlement Funds in accordance with the itemized schedule below. Funds will be distributed in the order of priority set forth herein and only after any conditions to disbursement in Section 9 are satisfied.

3. ATTORNEYS' FEES, COSTS, LIENS

Payor shall first satisfy any valid and perfected liens, statutory claims, and court-ordered deductions from the Settlement Funds. The parties authorize payment of attorneys' fees in the amounts and percentages set forth below and confirm that deductions for fees and costs will be itemized on the settlement ledger.

4. TAX WITHHOLDING AND REPORTING

Payor and Payee acknowledge responsibility for applicable tax reporting. Payor will withhold amounts as required by law when notified of valid withholding obligations or when Payee has failed to provide required taxpayer information. Payee certifies under penalty of perjury that the taxpayer information provided in this form is true and correct.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to enter into this Agreement, that all information provided herein is true and correct to the best of its knowledge, and that execution of this Agreement will not violate any other agreement to which the party is bound.

6. INDEMNIFICATION

Each party agrees to indemnify and hold harmless the other parties and any Escrow Agent from and against all losses, liabilities, claims, demands, damages and expenses (including reasonable attorneys' fees) arising out of any breach of the representations contained in this Agreement, or as a result of inaccurate payee information or undisclosed claims against the Settlement Funds.

7. RELEASE AND CONDITION PRECEDENT

Disbursement of Settlement Funds to Payee constitutes full release of the Payor from further monetary liability in respect of the claims released by the underlying settlement, provided that distribution is made in strict accordance with this Agreement and conditional requirements herein have been satisfied.

8. ESCROW AND PAYMENT MECHANICS

Where funds are delivered to an Escrow Agent, the Escrow Agent shall disburse in accordance with this Agreement and the escrow instructions executed by the parties. If payment is by wire, the following bank information shall be used.

9. CONDITIONS TO DISBURSEMENT

No disbursement shall be made until Payee has executed and returned this form, provided any required releases, lien waivers, or affidavits have been delivered, and Escrow Agent (if any) has received clear and collectable funds. Payor retains the right to withhold disbursement until reasonably satisfied that no further liens or claims against the Settlement Funds exist.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth herein or to such other address as a party designates by written notice. Notices shall be effective upon personal delivery, confirmed electronic transmission, or three business days after deposit with the postal service.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of laws principles. Venue for any action arising from this Agreement shall be the state or federal courts located in the county of .

12. ENTIRE AGREEMENT; SEVERABILITY

By signing below, Payee certifies under penalty of perjury that Payee is the lawful recipient of the amounts set forth herein, that the taxpayer information provided is accurate, and that Payee will promptly notify Payor of any change in circumstances affecting such information.
