LEGAL SETTLEMENT DISTRIBUTION SHEET

This Settlement Distribution Sheet (the "Distribution Sheet") is made effective as of by and between Plaintiff: and Defendant: in the matter captioned: Case No.: Court: (collectively, the "Parties").

RECITALS

WHEREAS, the Parties have negotiated a comprehensive settlement of all claims asserted in the Action and intend for the payments described herein to effectuate distribution of the settlement proceeds; and

WHEREAS, the Parties agree that the total gross settlement amount payable by or on behalf of Defendant is (the "Gross Settlement Amount"); and

WHEREAS, the Parties desire to set forth the procedures for allocation, deduction, withholding, escrow and payment of the Gross Settlement Amount and for the certification and distribution of net proceeds to the identified payees.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the Parties agree as follows:

1. DEFINITIONS

1.1 "Gross Settlement Amount" means the total amount specified above and any additional sums payable under the Settlement Agreement.

1.2 "Deductions" means all authorized charges against the Gross Settlement Amount, including attorney fees, litigation costs, court-approved liens, taxes, required withholdings, escrow fees, and any agreed-upon administrative expenses.

1.3 "Net Settlement Fund" means the Gross Settlement Amount less Deductions, available for distribution to payees in accordance with this Distribution Sheet.

2. DISTRIBUTION SCHEDULE

The Parties hereby direct that the Gross Settlement Amount shall be allocated and paid as follows. Amounts set forth below shall be paid from the Gross Settlement Amount and, if applicable, amounts withheld for taxes or liens shall be deducted prior to payment to the named payees.

3.1 Attorneys of record for Plaintiff shall be paid pursuant to the fee arrangement set forth below. The Parties agree that attorney fees shall be paid from the Gross Settlement Amount in the following manner:

5. PAYMENT MECHANICS

5.1 Subject to the terms of the Settlement Agreement and any court order, payments from the Net Settlement Fund shall be made within days after the Effective Date or issuance of any required court approval, whichever is later.

5.2 Payments shall be issued by check or electronic transfer as directed on the payee's distribution information provided below. Parties and payees shall cooperate in providing any documentation reasonably necessary to effectuate payment.

Each Party represents and warrants that it has full power and authority to enter into this Distribution Sheet and to perform its obligations hereunder; that all information provided regarding payees and amounts is true, complete and accurate to the best of the representing Party's knowledge; and that execution of this Distribution Sheet does not violate any other agreement to which the representing Party is subject.

8. RELEASES

Upon receipt of the payments allocated to the payees under this Distribution Sheet, each payee shall be deemed to have released the Released Parties from all claims related to the Action as set forth in the Settlement Agreement. The Release shall be effective as of .

9. INDEMNIFICATION

Each Party agrees to indemnify and hold harmless the other Party and any escrow or paying agent from and against any loss, liability, claim or expense (including reasonable attorneys' fees) arising out of incorrect or incomplete payee information, duplicate claims for payment, or any claim by a third party seeking payment from the Gross Settlement Amount that is not expressly set forth in this Distribution Sheet.

11. GOVERNING LAW; MISCELLANEOUS

11.1 Governing Law. This Distribution Sheet shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

11.2 Entire Agreement. This Distribution Sheet, together with the Settlement Agreement and any operative court order, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes any prior agreements, understandings or representations.

11.3 Severability. If any provision of this Distribution Sheet is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Amendments; Waiver. No amendment, modification or waiver of any provision shall be effective unless in writing and signed by both Parties. Failure to enforce any provision shall not constitute a waiver of future enforcement.

11.5 Counterparts. This Distribution Sheet may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by facsimile or electronic transmission shall be binding.

12. CERTIFICATION

Each Party certifies that the information provided in this Distribution Sheet is true and correct to the best of the certifying Party's knowledge, that the Party has the authority to bind the named payees, and that distributions made in accordance with this Distribution Sheet shall fully satisfy the Parties' obligations under the Settlement Agreement with respect to the identified payees and amounts.
