LEGAL SETTLEMENT SHEETS

This Legal Settlement Sheets (the "Settlement") is made effective as of Effective Date: between Claimant Name: (hereinafter "Claimant") and Respondent Name: (hereinafter "Respondent").

RECITALS

WHEREAS, Claimant contends that Respondent is liable for certain claims arising out of the matter described as: ; and

WHEREAS, the parties have engaged in negotiations and desire to resolve fully and finally all claims, disputes and causes of action between them on the terms set forth in this Settlement; and

WHEREAS, the parties desire to memorialize the allocation of settlement funds, deductions, and obligations in a written settlement sheet attached as part of this instrument.

NOW, THEREFORE

In consideration of the mutual covenants, releases and payments set forth below, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Settlement, the following terms shall have the meanings set forth below:

"Settlement Amount" means the gross monetary amount to be paid by Respondent as set forth in the Settlement Schedule below. "Net Amount" means Settlement Amount less attorneys' fees, costs, liens, and other authorized deductions identified in the Schedule.

2. SETTLEMENT SCHEDULE

The parties agree that the Settlement Amount will be allocated and paid according to the itemization below. All monetary amounts are in U.S. dollars.

3. PAYMENT TERMS

Respondent shall pay the Gross Settlement Amount to the payee designated by Claimant in accordance with the schedule below. Payment shall be made by wire transfer, certified check, or other instrument mutually agreed in writing. If payment is to be made in installments, the schedule is:

Time is of the essence for all payment obligations. If Respondent fails to make any payment when due, interest shall accrue at the lesser of 1.5% per month or the maximum rate permitted by law, and Claimant may pursue any and all remedies available at law or equity.

4. RELEASE

Upon receipt of the Net Settlement Amount as set forth in Section 2, Claimant, on behalf of Claimant and Claimant's heirs, successors and assigns, hereby releases and forever discharges Respondent, and each of its officers, directors, agents, employees, affiliates, insurers and attorneys, from any and all claims, demands, actions, causes of action, liabilities, damages and costs, whether known or unknown, asserted or unasserted, arising out of or related to the matter described in this Settlement through the Effective Date.

The Release shall not apply to obligations expressly set forth in this Settlement or obligations arising from future conduct of Respondent not related to the settled matter.

5. CONFIDENTIALITY

The parties agree that the terms and existence of this Settlement shall remain confidential and shall not be disclosed to any third party except as required by law, for tax reporting, or to a party's legal or financial advisors who agree to be bound by this confidentiality obligation. A responding party may disclose the Settlement to enforce its rights or as required by judicial process.

6. TAXES

Each party shall be responsible for all federal, state and local taxes, interest and penalties, if any, arising from or related to payments made pursuant to this Settlement. Unless otherwise expressly agreed in writing, Respondent makes no representation as to the tax consequences of any payment and Claimant acknowledges that Claimant has had the opportunity to consult with tax counsel.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power, authority and legal capacity to enter into this Settlement; that the person signing on its behalf is duly authorized to execute this Settlement and to bind the party to its terms; and that entering into this Settlement will not violate any contractual obligation or law applicable to such party.

8. INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of the representations or covenants set forth in this Settlement.

9. NOTICES

All notices required or permitted under this Settlement shall be given in writing and delivered to the addresses designated below. Notice is effective upon receipt.

10. AMENDMENTS; WAIVER; COUNTERPARTS

This Settlement may be amended only by a written instrument signed by both parties. No waiver of any provision of this Settlement shall be effective unless in writing and signed by the party against whom enforcement is sought. This Settlement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

11. GOVERNING LAW

This Settlement shall be governed by and construed in accordance with the laws of the state selected by the parties: Governing State: , without regard to principles of conflicts of law.

12. ENTIRE AGREEMENT; SEVERABILITY

This Settlement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations and agreements, whether written or oral. If any provision of this Settlement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
