LEGAL SHARE INTEREST ASSIGNMENT

This Assignment of Share Interest (the Agreement) is made as of by and between Assignor Name: , with a principal address at (Assignor), and Assignee Name: , with a principal address at (Assignee).

RECITALS

WHEREAS, Assignor is the legal and beneficial owner of certain shares or membership interests described as: , including share certificate number(s) or identification: (the Interest); and

1. ASSIGNMENT AND TRANSFER

1.1 Assignment. Assignor hereby irrevocably assigns, conveys and transfers to Assignee all of Assignor's right, title and interest in and to the Interest described above, including any and all rights to dividends, distributions, voting, and other incidents of ownership from and after the Effective Date stated above.

1.2 Deliverables. Upon execution of this Agreement, Assignor shall deliver to Assignee all instruments of transfer, certificates, endorsements and other documents necessary to vest legal title to the Interest in Assignee, including a duly executed assignment instrument and any originals of share certificates or membership certificates, if applicable.

2. CONSIDERATION

2.1 Consideration. As consideration for the assignment and transfer of the Interest, Assignee shall pay to Assignor the sum of and/or provide the following consideration: .

2.2 Payment Mechanics. Unless otherwise agreed in writing, payment shall be made by wire transfer, check, or other immediately available funds upon execution and delivery of this Agreement and the documents required by Section 1.2.

3. REPRESENTATIONS AND WARRANTIES OF ASSIGNOR

Assignor represents and warrants to Assignee that, as of the Effective Date:

(a) Assignor is the sole legal and beneficial owner of the Interest, free and clear of all liens, encumbrances, claims, options and restrictions other than those expressly disclosed to Assignee in writing prior to execution of this Agreement.

(b) Assignor has full corporate or other capacity and authority to execute and deliver this Agreement and to transfer the Interest; the execution, delivery and performance of this Agreement by Assignor have been duly authorized by all necessary action.

(c) No consent, approval, order or authorization of, or registration, declaration or filing with, any governmental authority or other person is required to be obtained by Assignor to consummate the transactions contemplated by this Agreement except as have been obtained or as set forth in writing by Assignor to Assignee.

4. REPRESENTATIONS AND ASSUMPTIONS OF ASSIGNEE

Assignee represents and warrants that it has the requisite power and authority to enter into and perform this Agreement and that it accepts the Interest subject to the terms and conditions of this Agreement. Assignee expressly assumes, and agrees to perform and discharge, as and when due, all obligations and liabilities arising from and after the Effective Date that relate to the Interest.

5. FURTHER ASSURANCES

Each party shall, at its own expense, execute and deliver such further instruments and take such further actions as may be reasonably requested by the other party to effectuate the purposes and intent of this Agreement and to give full force and effect to the transfer contemplated herein.

6. TAXES AND EXPENSES

Unless otherwise agreed in writing, Assignor shall be responsible for any taxes, transfer fees or other governmental charges arising from events or periods prior to the Effective Date, and Assignee shall be responsible for any taxes, fees or charges arising from events or periods on and after the Effective Date. Each party shall pay its own legal and accounting fees incurred in connection with the negotiation and preparation of this Agreement.

7. NO THIRD-PARTY BENEFICIARIES

This Agreement is for the sole benefit of the parties hereto and their respective successors and permitted assigns, and nothing in this Agreement, express or implied, is intended to confer any rights or remedies upon any other person.

8. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier, to the addresses set forth below or to such other address as a party may designate by notice:

No amendment, modification or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by both parties. No failure or delay by either party in exercising any right under this Agreement shall operate as a waiver of that right.

10. COUNTERPARTS

This Agreement may be executed in any number of counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means or facsimile shall be valid and binding.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

12. ENTIRE AGREEMENT; SEVERABILITY
