What a Legal Share Subscription Resolution Is and When It’s Used

A Legal Share Subscription Resolution is a formal corporate record documenting a shareholder’s agreement to purchase newly issued or existing shares of a corporation. It typically records the subscriber, number and class of shares, price or consideration, effective date, payment terms, and any conditions precedent. The resolution is adopted by a board or authorized corporate officer to approve and authorize the transaction, to update capitalization records, and to trigger stock issuance, payment collection, and entry into the corporate minute book.

Why a Clear, Signed Resolution Matters

A signed share subscription resolution creates an auditable corporate action that documents authorization, protects corporate officers, and provides evidence of shareholder consent and payment obligations. It reduces disputes over ownership, supports accurate capitalization tables, and helps satisfy regulatory, tax, and auditor inquiries while preserving corporate formalities.

Why a Clear, Signed Resolution Matters

Who Typically Prepares and Signs These Resolutions

Corporate officers, general counsel, corporate secretaries, investors, and outside counsel commonly prepare or sign subscription resolutions.

  • General Counsel: Drafts terms, ensures compliance with corporate law and bylaws, and coordinates board approval.
  • Corporate Secretary: Records the resolution in the minute book and updates the stock ledger.
  • Investor or Subscriber: Signs to accept terms, confirm payment, and bind themselves to purchase obligations.

The document is used across company stages: formation, fundraising rounds, secondary sales, and corrective capitalization adjustments.

Who Signs and Their Typical Titles

Chief Executive

As company representative the CEO often signs authorizations ratifying subscription terms when board delegation permits; their signature confirms operational approval and public-facing representations about the issuance.

Investor / Subscriber

The subscribing party signs to confirm intent to purchase shares, agree to payment method and representations, and provide the information necessary for issuance and transfer into the company’s stock ledger.

Essential Elements to Include in a Professional Resolution

A complete resolution clearly states the transaction mechanics, authorizations, representations, and post-signature actions. Include concise, unambiguous clauses so the corporate record stands up to audit, investor review, and regulatory scrutiny.

Resolution Title

Identify the document (e.g., 'Board Resolution Approving Share Subscription') and reference the meeting or written consent where it was adopted to anchor the corporate action.

Recitals

Summarize background facts: board authority, subscriber identity, share class, and reason for issuance so the resolution explains the business purpose.

Subscription Terms

Specify number of shares, class or series, price per share, total consideration, payment method, and closing conditions in precise monetary and numeric terms.

Payment & Delivery

State how payment is to be made (wire, check, escrow), when certificates are issued or ledger entries made, and any escrow agent or deposit conditions.

Representations & Warranties

Include subscriber representations (authority, accredited status if required, no conflicting obligations) and company representations about valid issuance.

Authorization & Recordkeeping

Authorize officers to take steps to issue shares, update cap table, and enter the resolution into the minute book and stock ledger.

Required Information to Record

Subscriber Name: Full legal name
Share Quantity: Number of shares
Share Class: Common or preferred
Price per Share: Dollar amount
Effective Date: MM/DD/YYYY
Authorization Reference: Board minutes citation

Step-by-Step: Completing the Share Subscription Resolution

Follow a clear sequence to prepare, approve, sign, and record the subscription to maintain corporate formalities and ensure enforceability.

  • 01
Draft Terms: Record share count, class, price, and payment mechanics.
  • 02
Board Approval: Obtain board resolution or written consent authorizing issuance.
  • 03
Subscriber Signature: Have subscriber sign and date the subscription agreement or resolution.
  • 04
Record Issuance: Update stock ledger and minute book; issue certificate if applicable.

How to Amend or Revise a Filed Resolution

Amendments should be documented with equal care: adopt an amendment by the same corporate procedure used for the original resolution and record it in the minute book.

01

Identify Change:

Specify clause(s) to change and reason for amendment.
02

Board Action:

Obtain board vote or written consent authorizing amendment.
03

Subscriber Consent:

Secure subscriber acknowledgment if amendment affects their rights.
04

Execute Amendment:

Sign and date the amendment document.
05

Update Records:

Reflect changes in cap table and stock ledger.
06

Retain Documentation:

Place amendment and approvals in the corporate minute book.

Customize and Complete the Resolution Online

Use conditional fields and preset templates to reduce errors and guide signers through required inputs when completing the resolution electronically.

Field Configuration
Subscriber Name Required text field, auto-capitalize
Share Quantity Numeric field, no commas
Price Field Currency format with two decimals
Signature Block Mandatory signature + date

Where to Send and How to File the Signed Resolution

After execution, place the original in the corporate minute book, update the stock ledger, provide the subscriber with a copy, and file any regulatory notices if required.

  • Corporate Records: Minute book and stock ledger updated
  • Subscriber Copy: Provide executed copy to subscriber
  • Registrar / Transfer Agent: Notify if third-party handles issuance
  • Regulatory Filings: File only if state or federal rules require

Distribution and eSubmission Options

Electronic delivery and e-signature reduce turnaround; choose an approach that preserves audit trails and attachment integrity.

  • Email: Fast but verify signer identity
  • Secure Portal: Maintains controlled access and audit trail
  • eSignature Platform: Captures timestamps and evidence

Download Formats and Supporting Documents to Keep Together

Keep signed originals and electronic copies together. Export in formats that preserve signatures and metadata so documents remain admissible and reproducible.

PDF (Signed)

Download a signed PDF/A that preserves visible signatures, embedded audit trail, and prevents accidental edits when stored in the minute book.

DOCX (Editable)

Maintain an editable copy for amendments but do not substitute it for the executed PDF in official records.

Stock Ledger

Attach issuance entry or certificate stub to the resolution to document capitalization changes.

Payment Evidence

Retain wire confirmations, escrow receipts, or canceled checks as proof of consideration paid for shares.

Common Preparation and Execution Errors to Avoid

  • Using informal or imprecise share descriptions that later produce capitalization table disputes and transfer errors.
  • Mismatched names between subscriber documents and corporate filings that trigger re-execution or tax withholding issues.
  • Omitting board authorization or failing to reference the meeting or written consent that authorized the issuance.
  • Not preserving evidence of payment (wire confirmations, escrow receipts), which complicates disputes about fulfillment.

Primary Risks and Potential Legal Consequences

Tax Penalties: IRC §6721: penalties for incorrect information returns
I-9 / Employment: 8 CFR §274a.2: recordkeeping fines for employment documents
Invalid Issuance: State law: voidable shares if corporate formalities omitted
Contract Disputes: Breach claims for unclear subscription conditions
Notarization Risk: State notary defects can impede record admissibility
Intentional Misreporting: Fraud penalties and uncapped fines

Typical Timelines and Filing Deadlines to Watch

Some deadlines are statutory; others are internal corporate deadlines. Track tax reporting, cap table updates, and any state filing windows tied to equity transactions.

Board Approval Timing:

Adopt resolution before share issuance or payment settlement

Update Stock Ledger:

Record issuance immediately upon closing

Tax Reporting:

Provide required forms per IRS deadlines (vary by form)

Record Retention:

Keep executed documents for recommended retention periods

Transfer Agent Notice:

Notify transfer agent within customary corporate timelines
