LEGAL SHORT FORM

This Legal Short Form Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Party A Name: , and Party B Name: .

RECITALS

WHEREAS, Party A desires to engage Party B to perform certain services as set forth in this Agreement; and

WHEREAS, Party B represents that it has the capacity, experience, and personnel to perform such services in a competent and professional manner; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the tasks and deliverables to be performed by Party B as described in Section 2 below. "Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

6.1 Except as expressly provided in writing, all intellectual property and work product created by Party B specifically for Party A under this Agreement shall be owned by:

8.1 All notices, demands, or other communications required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified mail, or sent by recognized overnight courier to the addresses provided below.

9.1 No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

10.2 Severability: If any provision of this Agreement is held to be invalid or unenforceable in whole or in part, the remaining provisions shall remain in full force and effect.

10.3 Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

11.1 Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be deemed original signatures.

11.2 Remedies: The parties agree that a breach of Sections 5 or 6 would cause irreparable harm for which monetary damages may be inadequate and that injunctive relief may be sought in addition to any other remedies available at law or in equity.
