This Legal Side Letter Comparison (the "Comparison") is made as of between Primary Party: and Counterparty: (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, the Parties are parties to one or more principal agreements and related side letters, each of which may impose rights, obligations or covenants on one or more Parties; and

WHEREAS, the Parties have requested a written, line-by-line comparison of selected provisions in the side letters identified below to identify divergences, material variances, and recommended drafting positions for resolution; and

WHEREAS, this Comparison is prepared solely to document differences among the identified side letters and to set forth the Parties' mutual understanding regarding the analysis and recommended next steps.

NOW THEREFORE, in consideration of the mutual covenants set forth below and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. PURPOSE

The purpose of this Comparison is to: (a) identify specified provisions of the side letters under review; (b) summarize the operative language in each Party's side letter; (c) identify material variances between those provisions; and (d) state recommended negotiating positions and next steps to reconcile identified differences. This Comparison does not, by itself, amend or supersede any underlying agreement or side letter unless the Parties execute a separate written amendment that explicitly so states.

2. DOCUMENTS COMPARED

3. METHODOLOGY

The Parties agree the comparison was conducted by reference to the operative side letter language as of the dates set forth above. Terms are compared on a text-for-text basis and, where ambiguity exists, the comparison notes the nature of the ambiguity and proposed clarifying language. Material variance is defined for purposes of this Comparison as any divergence that (a) affects the economic allocation between Parties, (b) alters a Party's indemnity, liability, or termination rights, or (c) imposes a new covenant that materially restricts operation under the principal agreement.

4. COMPARATIVE ANALYSIS

Instructions: For each identified topic, provide the operative text from each side letter, indicate whether the divergence is material, summarize the variance, and state a recommended negotiating position.

Any representation in this Comparison that suggests a change to operative contract language shall be effective only if set forth in a separate executed written instrument.

Binding Status: This Comparison is intended to be binding as to the Parties' agreed recommendations and further negotiation instructions.    This Comparison is non-binding and provided for information and negotiation purposes only.

Amendments and Waiver: This Comparison may be amended or waived only by a written instrument signed by both Parties. No failure or delay in exercising any right operates as a waiver of that right.

What the Legal Side Letter Comparison Is and When It Applies

A Legal Side Letter Comparison summarizes differences between one or more side letters and a primary agreement, highlighting conflicts, unique concessions, and timing or payment variations. It organizes clauses that diverge from the master contract so counsel, deal teams, and counterparties can assess legal risk and alignment before execution or close.

Why a Side Letter Comparison Matters

A focused comparison reduces ambiguity, prevents inconsistent obligations, and documents which provisions govern between competing texts. It helps negotiators, compliance teams, and document reviewers identify enforceability gaps and coordinate updates to the main agreement or ancillary records.

Why a Side Letter Comparison Matters

Who Typically Prepares and Reviews These Comparisons

Use the comparison to brief signatories, update corporate records, and attach a signed certificate of accuracy where appropriate.

  • Law firms and outside counsel drafting and reconciling deal documents for clients
  • In-house legal and compliance teams reviewing negotiated exceptions and approval paths
  • Lenders, investors, and trustees verifying economic terms, covenants, or carve-outs

Primary Users and Their Roles

General Counsel

Corporate GC teams use the comparison to confirm side letter terms do not create unintended liabilities and to approve exceptions against board-authorized templates. They coordinate with finance and risk teams to ensure cross-functional sign-off before execution.

Transaction Counsel

Outside and deal counsel prepare line-by-line comparisons during negotiations to show counterparties where side letters alter payment terms, confidentiality, or termination rights, supporting redline review and closing deliverables lists.

Core Components of a Professional Comparison

A clear comparison groups related changes, cites source locations, and explains legal impact so reviewers can quickly assess materiality and next steps.

Parties & Recitals

Identify each party, the governing master agreement, and the effective date for each side letter so readers can confirm which instruments interact and when obligations begin.

Scope of Amendment

Summarize the exact clauses or sections modified, including quoted language and redline references, so users can map amendments back to the original contract precisely.

Key Commercial Terms

Highlight payments, milestone dates, termination triggers, and exclusivity clauses that change economics or performance obligations to surface high-impact concessions early.

Confidentiality & Disclosure

Note any deviations from the master confidentiality regime, special disclosure rights, or carve-outs that could affect regulatory or investor reporting obligations.

Governing Law & Notices

Flag changes to governing law, forum selection, or notice addresses that alter dispute resolution, service of process, or enforcement mechanics.

Signatures & Authority

Record who signed each side letter, capacity of signatories, and whether corporate approvals or board minutes were obtained to confirm enforceability.

Step-by-Step: Creating a Side Letter Comparison

Follow a consistent sequence to produce an accurate, defensible comparison suitable for counsel review and executive sign-off.

  • 01
Gather Documents: Collect master agreement and all executed side letters.
  • 02
Identify Variances: Locate clauses with differing terms or obligations.
  • 03
Draft Comparison: Record original text, amended text, and materiality notes.
  • 04
Review and Approve: Circulate to stakeholders and archive signed comparison.

Typical Review and Routing Flow

A predictable routing model reduces delays and preserves an audit trail across legal, commercial, and compliance reviewers.

  • Prepare: Compile documents and populate comparison fields.
  • Send: Distribute draft to stakeholders for comments.
  • Sign: Obtain authorized signatures on side letters and any ratifications.
  • Store: Archive executed documents and the comparison record.

Standard Digital Workflow Settings to Configure

Configure your digital signing workflow to match authentication, field, and retention needs before sending comparisons for signature.

Field Configuration
Authentication Email link | SMS code | optional KBA
Signature Type Click-to-sign | Drawn signature | Image upload
Bulk Send Available on higher tiers | use for parallel signings
Audit Trail Enabled | captures IP, timestamp, and actions

Digital Signing and Document Format Considerations

Ensure the chosen system preserves a tamper-evident signed PDF, retains an audit trail, and supports your records-retention policy for regulatory compliance.

  • Integrations: Salesforce, NetSuite, Google Workspace
  • File Formats: PDF, DOCX, HTML supported
  • Security Controls: Two-factor and SSO available

Common Timelines and Deadlines to Track

Track key internal and external dates to ensure timely review, signature, and filing where required.

Provide on Request:

Side letters should be produced promptly when requested by counterparty or regulator.

Internal Review Window:

Allow 3–7 business days for legal and finance review.

Signature Period:

Confirm signing windows agreed in the side letter.

Record Retention Start:

Retention typically begins on execution date.

Regulatory Reporting:

Meet any required disclosure deadlines in applicable statutes.

Common Preparation Errors to Avoid

  • Failing to cross-reference clause numbers or versions, which leads to unclear comparisons and potential enforcement disputes.
  • Using inconsistent party names or abbreviations, producing ambiguity in who is bound by which obligation under each document.
  • Omitting signatory authority checks or corporate approvals, risking later invalidation of the side letter or need for ratification.
  • Neglecting to note conflicting governing law or notice provisions, which may change enforcement venues or service mechanics.

Principal Risks If a Comparison Is Inaccurate

Unenforceability: May render obligations void
Tax Exposure: Incorrect reporting or withholding
Litigation Cost: Increased dispute and defense expenses
Contract Breach: Conflicting obligations may trigger defaults
Regulatory Fines: Noncompliance penalties possible
Recordkeeping Failure: Loss of audit trail or retention proof

Practical Best Practices for Accurate Comparisons

Adopt consistent conventions and governance to maintain clarity, reduce disputes, and preserve auditability across deals.

Reference Primary Documents
Always cite the master agreement section and version. Include page and paragraph numbers so reviewers can verify context without searching multiple files; this avoids misapplication of amendments during enforcement.
Record Materiality
Add a one-sentence materiality assessment for each variance. This helps stakeholders prioritize legal review and can guide whether redaction or public disclosure is needed for reporting purposes.
Verify Authority
Confirm signer capacity and corporate approvals before execution. Missing approvals often require post-signature ratification, which can delay enforceability and increase transaction risk.
Preserve an Audit Trail
Keep tamper-evident signed PDFs and system-generated audit logs showing timestamps, IP addresses, and action details to support compliance and dispute resolution.

Security and Compliance Considerations
