SIDELETTER AGREEMENT

This Sideletter Agreement (the "Sideletter") is made as of Effective Date: by and between Party A: with principal address and Party B: with principal address .

RECITALS

WHEREAS, the parties are parties to a written agreement entitled dated (the "Main Agreement");

WHEREAS, the parties desire certain clarifications and limited modifications to the Main Agreement as set forth herein and intend that this Sideletter will govern solely as to the matters expressly set forth below; and

WHEREAS, the parties intend that this Sideletter shall not constitute a waiver of, or amendment to, provisions of the Main Agreement except as expressly provided in this Sideletter.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

Capitalized terms used but not defined in this Sideletter shall have the meanings ascribed to them in the Main Agreement. For purposes of this Sideletter, "Effective Date" means the date first written above.

2. SIDELETTER TERMS

The parties hereby agree that the Main Agreement shall be supplemented as follows. The terms set forth in this Section 2 shall control to the extent of any conflict with the Main Agreement with respect to the subject matter expressly addressed in this Sideletter.

3. EFFECT ON MAIN AGREEMENT

Except as expressly modified by this Sideletter, all terms, covenants and conditions of the Main Agreement remain in full force and effect. No term of this Sideletter shall be construed as a termination, rescission or broad amendment of the Main Agreement unless expressly set forth herein.

4. CONFIDENTIALITY

The parties agree that the existence and terms of this Sideletter are Confidential Information. Each party shall hold the other party's Confidential Information in strict confidence and shall not disclose such information to any third party except as required by law or with the prior written consent of the disclosing party. This obligation shall survive termination of the Main Agreement and this Sideletter for a period of three (3) years.

This confidentiality obligation shall not apply to information that (a) is or becomes generally available to the public other than as a result of a breach of this Sideletter, (b) was rightfully in the receiving party's possession prior to disclosure, or (c) was independently developed by the receiving party without use of the disclosing party's Confidential Information.

5. TERM; TERMINATION

This Sideletter shall commence on the Effective Date and shall continue in effect until the earlier of (a) the expiration or termination of the Main Agreement, or (b) termination by mutual written agreement of the parties. Sections that by their nature survive termination shall survive such termination.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this Sideletter and that the execution and delivery of this Sideletter and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other action.

7. NO WAIVER; NO THIRD-PARTY BENEFICIARIES

No failure or delay by any party in exercising any right under this Sideletter shall operate as a waiver thereof. This Sideletter is intended solely for the benefit of the parties hereto and their permitted successors and assigns and is not intended to confer any rights or remedies upon any other person.

8. NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and shall be delivered to the parties at their respective addresses set forth below (or to such other address that a party may designate by notice to the other party).

9. AMENDMENTS; COUNTERPARTS

This Sideletter may be amended or modified only by a written instrument executed by both parties. This Sideletter may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

10. GOVERNING LAW

This Sideletter shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

11. ENTIRE AGREEMENT

This Sideletter, taken together with the Main Agreement to the extent expressly incorporated, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating thereto.

12. SEVERABILITY

If any provision of this Sideletter is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

13. COUNTERPARTS; ELECTRONIC SIGNATURES

This Sideletter may be executed electronically or by facsimile and such electronic or facsimile signature shall be treated as an original for all purposes. A party's delivery of an executed signature page by electronic transmission shall be an effective execution and delivery of this Sideletter.
