LEGAL SIGN DOCUMENT

This Legal Sign Document (the "Agreement") is made and entered into as of by and between Party A Name: whose principal place of business or residence is located at and Party B Name: whose principal place of business or residence is located at (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, Party A and Party B desire to establish the terms under which signatures, authorizations, and related actions may be executed, transmitted, and relied upon by each Party; and

WHEREAS, the Parties intend that this Agreement shall confirm (a) the scope of authority of designated signatories, (b) the admissibility and enforceability of electronically transmitted signatures, and (c) procedures for notice, indemnity and termination; and

WHEREAS, the Parties wish to set forth their mutual representations, warranties and remedies in connection with the foregoing.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Authorized Signatory" means an individual designated in writing by a Party to execute documents on behalf of that Party. "Electronic Signature" means any electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted by a Party with the intent to sign the record.

2. AUTHORITY TO EXECUTE

Each Party represents and warrants that the individual(s) identified as Authorized Signatory(ies) have full corporate, organizational or personal authority (as applicable) to enter into and bind that Party with respect to any document executed under this Agreement. Each Party shall provide to the other Party a written list of current Authorized Signatory(ies) and shall promptly notify the other Party in writing when an Authorized Signatory is revoked or replaced.

3. ELECTRONIC SIGNATURES

The Parties agree that signatures provided by electronic means (including, without limitation, by electronic signature platform, scanned signature, or typed name in an electronic document) shall constitute original signatures for all purposes and shall be as legally binding as handwritten signatures. Each Party agrees to maintain reasonable procedures to verify the identity of any person providing an Electronic Signature on its behalf.

4. SCOPE AND LIMITATIONS

This Agreement governs the use, acceptance and reliance upon signatures and communications executed under its terms. Authorization granted hereunder shall not be construed to create obligations beyond those expressly set forth in any underlying agreement between the Parties. Nothing in this Agreement shall permit a Party to incur indebtedness, transfer title to real property, or agree to obligations that exceed the signatory's express written authority.

5. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) the execution, delivery and performance of this Agreement have been duly authorized by all necessary action; and (c) this Agreement constitutes a valid and binding obligation enforceable against such Party in accordance with its terms.

6. CONFIDENTIALITY

Each Party agrees to treat as confidential any non-public information disclosed in connection with this Agreement and to use such information only for purposes related to the performance of this Agreement, except as required by law. The obligations of confidentiality shall survive termination of this Agreement for a period of two (2) years.

7. INDEMNIFICATION

Each Party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other Party (the "Indemnified Party") from and against any and all losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the Indemnifying Party's representations, warranties or obligations under this Agreement, except to the extent resulting from the negligence or willful misconduct of the Indemnified Party.

8. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue until terminated by either Party upon thirty (30) days' prior written notice to the other Party. Termination shall not affect rights or obligations accrued prior to the effective date of termination.

9. NOTICES

All notices, requests, consents and other communications required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as a Party may designate by written notice in accordance with this Section. Notice is effective upon receipt.

10. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of such right.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the substantive laws of the jurisdiction selected by the Parties below, without regard to conflict of laws principles.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

13. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic or facsimile copies of signatures shall be deemed originals for all purposes.

14. MISCELLANEOUS

Neither Party may assign this Agreement without the prior written consent of the other Party, except to a successor in interest in connection with a merger, consolidation or sale of substantially all of the assigning Party's assets. The headings in this Agreement are for convenience only and shall not affect interpretation.
