1. EXECUTION; EFFECT

1.1 Execution and Delivery. Each party represents and warrants that the signatory executing this Signature Page on its behalf is duly authorized to execute and deliver the Agreement and to bind such party to the terms and conditions of the Agreement. Delivery of an executed counterpart of this Signature Page by electronic transmission (including by PDF or other electronic image) shall be effective as delivery of a manually executed counterpart.

1.2 Counterparts. This Signature Page may be executed in any number of counterparts, each of which when executed shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile and electronically transmitted signatures shall be deemed originals for all purposes.

2. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization; (b) it has full corporate or organizational power and authority to execute, deliver and perform the Agreement; and (c) the execution, delivery and performance of the Agreement do not and will not violate any provision of its organizational documents or any agreement, law or order applicable to it.

3. AUTHORITY TO SIGN

Each person signing below on behalf of a party hereby certifies that such person has been duly authorized and empowered to execute this Signature Page and the Agreement on behalf of such party, and that, when executed by such party, the Agreement will constitute a valid and binding obligation of such party enforceable in accordance with its terms.

4. NOTICES

Any notice required or permitted under this Signature Page or the Agreement shall be given in accordance with the notice provisions contained in the Agreement; provided, if a party seeks to update its notice information specific to this Signature Page, it shall do so by written notice to the other party in the manner prescribed by the Agreement.

5. MISCELLANEOUS

Governing Law: The Agreement and this Signature Page shall be governed by and construed in accordance with the laws of the jurisdiction identified as Governing State: , without regard to conflict of laws principles.

Entire Agreement: This Signature Page, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, understandings and agreements, whether written or oral, relating to such subject matter.

Severability: If any provision of this Signature Page is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

Amendments and Waiver: No amendment, modification or waiver of any provision of the Agreement or this Signature Page shall be effective unless in writing and signed by the party against whom enforcement is sought. The failure of any party to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

Further Assurances: Each party shall execute and deliver such additional documents and take such further actions as reasonably may be necessary to carry out the provisions and purposes of the Agreement and this Signature Page.
