RECITALS

WHEREAS, each party regularly enters into agreements and other instruments that require signatures and wishes to establish uniform conditions under which signatures will be deemed valid and binding;

WHEREAS, the parties desire to set forth the permitted signature methods, authentication procedures, and other conditions for execution and delivery of documents between them;

WHEREAS, the parties intend that this Agreement govern the validity and acceptance of executed documents delivered in accordance with these terms;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following capitalized terms shall have the meanings set forth below:

"Authorized Signatory" means an individual identified in Section 2 whose authority to bind a party is set forth in a corporate record, power of attorney, or other documentary evidence maintained by that party.

"Electronic Signature" means any electronic sound, symbol, or process attached to or logically associated with a record and executed or adopted by a person with the intent to sign the record, including but not limited to digitally encrypted signatures, scanned handwritten signatures, and other secure electronic methods that provide authentication consistent with Section 3.

2. AUTHORIZED SIGNATORIES; SPECIMEN SIGNATURES

Each party shall maintain a current list of its Authorized Signatories and shall deliver such list and specimen signatures to the other party upon execution of this Agreement and thereafter upon any change. Unless and until the receiving party receives written notice of a change, it may rely on the last delivered list.

3. PERMITTED SIGNATURE METHODS AND AUTHENTICATION

A signature delivery method shall be considered valid if it meets the requirements of this Section. Acceptable methods include: (a) a wet ink handwritten signature on an original paper document; (b) a scanned image or photographic reproduction of an original handwritten signature delivered in a PDF or other common image format; and (c) an Electronic Signature implemented by a secure electronic process that includes authentication adequate to reasonably identify the signer.

Authentication procedures may include reasonable measures such as confirmation of the signer's business email address, a contemporaneous attestatory email from a known representative, multi-factor authentication, or other commercially reasonable verification measures. The receiving party may request additional evidence of authority where reasonable doubt exists.

4. ELECTRONIC SIGNATURE CONSENT AND CONDITIONS

By executing this Agreement and any document governed hereby, each party expressly consents to the use of Electronic Signatures for execution, delivery, and retention of contract documents and related records. Consent to receive and rely upon Electronic Signatures shall be deemed given unless a party provides written notice revoking such consent for future transactions.

Notwithstanding the foregoing, if any applicable law requires a particular document to be executed in a specific physical form (for example, deeds or certain powers of attorney), the parties shall comply with such requirement and the parties' consent to electronic execution shall not waive compliance with statutory formalities.

Client consents to electronic signatures:   Counterparty consents to electronic signatures:

5. CONDITIONS PRECEDENT; RETENTION OF ORIGINALS

Where delivery of an original wet-ink signature is expressly required by the parties in writing, such requirement shall be satisfied upon receipt of the original within a commercially reasonable time after electronic transmission, unless the receiving party provides written objection within ten (10) business days. Absent such written requirement, an electronic copy shall be treated as an original for all purposes.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full power and authority to enter into and perform this Agreement; (b) the persons executing documents on its behalf are duly authorized; and (c) any Electronic Signature used in accordance with this Agreement reflects the authorized intent of the signatory and is admissible as evidence of such signatory's intent.

7. RELIANCE AND BINDING EFFECT

8. DELIVERY, COUNTERPARTS, AND SCANNED COPIES

Documents may be executed in counterparts, each of which shall be deemed an original but all of which together constitute one and the same instrument. A scanned or electronically transmitted counterpart of a manually signed document shall be admissible in any proceeding and shall have the same evidentiary effect as an original.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice in accordance with this Section. Notices delivered by electronic mail shall be effective upon confirmation of receipt, provided that a copy is delivered by postal mail or overnight courier within two (2) business days.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless made in a writing signed by both parties. No waiver by either party of any breach shall constitute a waiver of any other breach.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state selected below, without regard to its rules regarding conflicts of laws. The parties submit to the exclusive jurisdiction of the state and federal courts located in the selected jurisdiction for resolution of disputes arising under this Agreement.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

13. MISCELLANEOUS

The headings used in this Agreement are for convenience only and shall not affect the interpretation of any provision. The parties agree that delivery of signatures by facsimile transmission, electronic mail with attached PDF, or by other electronic transmission shall be sufficient to bind the parties where authorized in this Agreement.

What the Legal Signature Conditions Form Is and When It Applies

A Legal Signature Conditions Form documents the specific conditions under which signatures validate an agreement or transaction, including signer identity, execution method, date, and any witness or notary requirements. It records whether signatures may be electronic, digital (PKI), or wet-ink, and captures authentication and retention rules needed to establish enforceability under federal and state e-signature law. The form is used to reduce disputes about signature validity by making execution requirements explicit and creating an auditable record for compliance, litigation, or regulatory review.

Why clarifying signature conditions matters

Stating signature conditions up front reduces disputes, speeds acceptance, and supports legal defensibility under ESIGN (15 U.S.C. §7001) and state rules such as UETA. Clear conditions also identify when additional steps — like notarization, witness signatures, or higher-strength authentication — are required for enforceability.

Why clarifying signature conditions matters

Who typically completes or relies on this form

Organizations and individuals use this form when execution rules must be explicit to protect rights, meet regulatory requirements, or satisfy third-party receivers.

  • Real estate agents and title officers who need notarized acknowledgements and witness statements for property transactions.
  • Healthcare administrators and privacy officers requiring HIPAA-compliant execution and business associate agreements.
  • Finance teams and payroll administrators verifying signatory authority and tax-related document accuracy.

The form helps varied users confirm who may sign, which signature methods are acceptable, and what post-execution steps preserve legal effect.

Primary signer roles and responsibilities

General Counsel

Reviews and approves signature conditions to ensure contractual enforceability, identifies state-specific notarization or witness needs, and documents retention obligations for litigation hold and regulatory compliance.

Office Administrator

Prepares the form, collects signer information, initiates electronic or in-person signing workflows, and stores signed records according to retention policies and audit-trail requirements.

Core elements to include for a professional form

A complete Legal Signature Conditions Form contains defined clauses that specify execution method, identity verification steps, and post-signature documentation to ensure consistency and enforceability.

Signature Clause

Defines acceptable signature types (electronic, digital PKI, or wet-ink) and notes whether a typed name, drawn mark, or certificate-based digital signature satisfies execution.

Authentication

Specifies signer authentication level required (email link, SMS OTP, knowledge-based question, ID check) and any multi-factor steps for high-risk transactions.

Witness and Notary

Identifies when witness signatures or notarization are required, including remote online notarization rules, audio‑visual recording, and journal retention requirements.

Execution Date

Captures the effective execution date format and whether the document becomes effective on signature date or a separate stated date.

Audit Trail

Requires an auditable record (timestamps, IP, authentication events) and retention instructions to support later verification or litigation.

Governing Law

Specifies the state law that will interpret signature validity and whether ESIGN or UETA rules control intrastate versus interstate transactions.
