This Legal Signature File (the Agreement) is made and entered into as of Effective Date: by and between Party A Name: and Party B Name: , each a Party and together the Parties.

RECITALS

WHEREAS, the Parties desire to record and evidence the authorized execution and delivery of one or more underlying agreements, instruments, exhibits and consents (collectively, the Underlying Documents) by means of this Legal Signature File; and

WHEREAS, the Parties intend that this Agreement establish the terms under which signatures, execution data and identifying information for the Underlying Documents are collected, retained and deemed effective and binding upon the Parties; and

WHEREAS, the Parties desire to set forth certain representations, certifications and procedures regarding authority to sign, delivery, and the legal effect of signatures recorded in this file.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Execution Record" means the collection of signature blocks, signature dates, printed names and related identification data maintained as part of this Legal Signature File. "Underlying Documents" means the agreements, amendments, exhibits, consents or instruments identified in the Attachments section and any documents expressly incorporated herein. "Effective Date" means the date specified in the opening paragraph of this Agreement.

2. PURPOSE; ATTACHMENTS

The purpose of this Agreement is to create a binding record of authorized execution with respect to the Underlying Documents and to specify the Parties' respective representations and procedures regarding authority, delivery, retention and reliance. The Parties acknowledge that the Underlying Documents are described in the Attachments section and that such Attachments are incorporated by reference into this Agreement.

3. REPRESENTATIONS AND WARRANTY OF AUTHORITY

Each Party represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) it has full corporate, limited liability, partnership or individual power and authority to execute, deliver and perform its obligations under the Underlying Documents and this Agreement; and (c) the person executing this Agreement on its behalf is duly authorized to do so and to bind that Party to the terms hereof.

4. EXECUTION; ELECTRONIC SIGNATURES

The Parties agree that signatures contained in this Execution Record, whether handwritten, electronic or in facsimile form, shall constitute valid and binding signatures and shall be effective for all purposes to the same extent and effect as an original wet-ink signature. The Parties further agree that a copy, image, electronic record or other reproduction of this Legal Signature File and of any signature contained herein shall be admissible in evidence and treated as an original for all purposes.

5. DELIVERY; FILE RETENTION

Delivery of a signature by electronic transmission, PDF, or other electronic means specified by a Party shall be deemed delivery of an original signature for all purposes. Each Party shall retain copies of this Legal Signature File and the Underlying Documents in accordance with its record retention policies and applicable law. The Parties agree that either Party may rely on the Execution Record and need not obtain an original counterpart of any signature unless expressly required by applicable law.

6. CONFIDENTIALITY

Except as required by law or court order, the Parties shall keep confidential the contents of the Underlying Documents and any nonpublic information contained in this Legal Signature File. This confidentiality obligation does not restrict a Party from disclosing the Agreement to that Party's legal counsel, auditors or potential acquirers provided such recipients agree to maintain confidentiality.

7. NOTICES

All notices, requests, demands and other communications under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a Party may designate by notice). Notice shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or sent by electronic transmission if receipt is confirmed.

8. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a written instrument signed by both Parties. No failure or delay by a Party in exercising any right or remedy shall operate as a waiver of that right or remedy, nor shall any single or partial exercise preclude further exercise or the exercise of any other right or remedy.

9. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Execution and delivery of this Agreement by electronic transmission of a signature page shall be of the same force and effect as delivery of an original.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to choice-of-law principles. If any provision of this Agreement is held invalid or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect. This Agreement, together with the Attachments, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

11. SIGNATORY CERTIFICATION

Each undersigned individual signing on behalf of a Party certifies and warrants that he or she is duly authorized to execute this Agreement on behalf of the Party and that, upon execution, the Party will be bound by the terms of the Underlying Documents and this Agreement. Each signer further certifies under penalty of perjury that the information provided in this Legal Signature File is true and correct to the best of his or her knowledge.

ADDITIONAL PROVISIONS

The Parties acknowledge that additional administrative provisions relating to authentication, notarization (if required), third-party reliance, or special execution procedures may be set forth in the Attachments or in the Underlying Documents. To the extent of any conflict between the terms of an Underlying Document and this Agreement, the specific execution procedures established in the Underlying Document shall control the method of signature authentication, provided that such procedures do not negate the Parties' representations of authority herein.
