1. EXECUTION AND INCORPORATION

1.1 Execution. The parties have executed this Signature Page to evidence their agreement to be bound by the terms of the Agreement. Execution of this Signature Page shall have the same force and effect as if the signatories set forth their signatures on the body of the Agreement.

1.2 Incorporation. This Signature Page is incorporated into and forms a part of the Agreement. All capitalized terms used but not defined herein shall have the meanings given to them in the Agreement.

2. REPRESENTATIONS AND WARRANTIES

Each party hereby represents and warrants to the other that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of formation; (b) it has all requisite power and authority to execute, deliver and perform its obligations under the Agreement and this Signature Page; and (c) the execution and delivery of this Signature Page and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other organizational action.

3. NOTICES

3.1 Notice Addresses. All notices, requests, consents and other communications required or permitted under the Agreement shall be sent to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

4. GOVERNING LAW

This Signature Page and the Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

5. ENTIRE AGREEMENT; SEVERABILITY

5.1 Entire Agreement. The Agreement, together with this Signature Page, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral.

5.2 Severability. If any provision of this Signature Page or the Agreement is held to be invalid, illegal or unenforceable in any respect, the remainder of this Signature Page and the Agreement shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.

6. AMENDMENT; WAIVER

No amendment, modification or waiver of any provision of this Signature Page or the Agreement shall be effective unless in writing and signed by the party against whom enforcement is sought. No failure or delay by any party in exercising any right, power or remedy shall operate as a waiver thereof.

7. COUNTERPARTS; ELECTRONIC SIGNATURES

This Signature Page may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission (including by facsimile or electronic image) shall be effective as delivery of a manually executed counterpart.

8. MISCELLANEOUS

The headings contained in this Signature Page are for convenience of reference only and shall not affect the interpretation of this Signature Page. Each party shall perform such further acts and execute and deliver such further documents as may reasonably be required to carry out the provisions of the Agreement and this Signature Page.
