RECITALS

WHEREAS, the parties entered into or will enter into a separate agreement referenced as: (the "Agreement"), which sets forth the terms and conditions governing their respective rights and obligations; and

1. Execution and Effect

1.1 Each party represents and warrants that the individual executing these Signature Pages on its behalf is duly authorized to bind that party. Upon execution by both parties, these Signature Pages shall be incorporated into and form a part of the Agreement and shall have the same force and effect as if signed contemporaneously with the main body of the Agreement.

2. Counterparts; Electronic Signatures

2.1 This Signature Page may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. 2.2 Signatures delivered by facsimile, portable document format (PDF) or other electronic transmission shall be effective for all purposes and shall be deemed original signatures.

3. Authority to Execute

3.1 Each party represents and warrants that (a) it is duly organized and validly existing under the laws of its jurisdiction of formation, (b) the execution, delivery and performance of these Signature Pages and the Agreement have been duly authorized by all necessary corporate or entity action, and (c) these Signature Pages constitute valid and binding obligations enforceable against it in accordance with their terms.

4. Effect of Signature Pages

4.1 Except as expressly modified by these Signature Pages, the terms and provisions of the Agreement remain in full force and effect. In the event of any conflict between the Agreement and these Signature Pages, the terms of the Agreement shall govern unless these Signature Pages expressly state otherwise.

5. Governing Law

5.1 The Agreement and these Signature Pages shall be governed by and construed in accordance with the laws of the state of without regard to rules governing conflict of laws.

6. Entire Agreement

6.1 These Signature Pages and the Agreement constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations and communications, whether oral or written, relating thereto.

7. Severability

7.1 If any provision of these Signature Pages is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, the remainder of these Signature Pages shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it valid and enforceable.

8. Notices

8.1 All notices, requests, consents and other communications required or permitted under the Agreement or these Signature Pages shall be in writing and delivered to the addresses set forth below (or as updated by written notice).

9. Amendments; Waiver

9.1 No amendment, modification or waiver of any provision of these Signature Pages shall be effective unless in writing and signed by authorized representatives of both parties. The failure of either party to enforce any right shall not constitute a waiver of that right.

10. Miscellaneous

10.1 The headings in these Signature Pages are for convenience only and shall not affect their interpretation. 10.2 Any provision that by its nature is intended to survive termination or expiration of the Agreement shall survive such termination or expiration.
