3.2 Accuracy. Requesting Party represents that the Target Document(s) and any attachments supplied are complete and accurate copies of the instruments to be executed and do not omit material terms.

3.3 Reliance. Each party may rely on the representations contained in this Request in good faith and may act on instructions received pursuant to this Request.

4. EXECUTION, DELIVERY AND EFFECTIVENESS

4.1 Execution. Signing Party shall execute the Target Document(s) in the manner agreed herein. Signatures delivered by electronic means that capture signature intent and attribution shall be deemed original signatures for all purposes.

4.2 Delivery. Delivery shall be effective when the executed Target Document(s) are received by Requesting Party in accordance with the Notice provisions below. Until delivery and acceptance, no party shall be deemed bound by the Target Document(s).

5. PAYMENT, COSTS AND INDEMNITY

5.1 Costs. Unless otherwise agreed in writing, each party shall bear its own costs in connection with execution and delivery of the Target Document(s).

5.2 Indemnity. Each party shall indemnify, defend and hold harmless the other against any losses, liabilities or expenses arising from the breaching party's breach of the representations in Section 3.

6. NOTICES

6.1 All notices, requests, consents and other communications under this Request shall be in writing and delivered to the addresses set forth below.

7. GOVERNING LAW; MISCELLANEOUS

7.1 Governing Law. This Request shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below. Parties may specify governing law:

7.2 Entire Agreement. This Request, together with any attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements.

7.3 Severability. If any provision of this Request is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

7.4 Amendments; Waiver. No amendment, modification or waiver of any provision of this Request shall be effective unless in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver.

7.5 Counterparts. This Request may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding.
