RECITALS

NOW THEREFORE, in consideration of the mutual covenants and agreements set forth below, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Authorized Signatory" means an individual designated in Section 2 to execute Documents on behalf of a Party. "Document" includes contracts, instruments, certificates, affidavits, notices, and similar writings.

1.2 "Specimen Signature" means the facsimile or sample signature provided by an Authorized Signatory for third-party reliance.

2. APPOINTMENT AND SCOPE OF AUTHORITY

2.1 Each Party hereby appoints the individuals listed below as Authorized Signatories with authority to execute and deliver Documents on behalf of the appointing Party within the scope set forth for each individual. The appointment is subject to the limitations, delegations, and revocations described in this Agreement.

4. RELIANCE; THIRD PARTIES

4.1 Third parties, including financial institutions, governmental authorities, and contracting parties, may rely conclusively upon any Document genuinely executed by an Authorized Signatory until such reliance is withdrawn by written notice received by such third party in accordance with Section 8.

4.2 A Party shall indemnify, defend and hold harmless any third party that reasonably and in good faith relies on a Specimen Signature or a representation of authority provided under this Agreement against losses, costs or liabilities arising from a material misrepresentation by the indemnifying Party of the authority of the person whose signature is presented.

5. ELECTRONIC SIGNATURES

5.1 The Parties agree that signatures transmitted by electronic means (including scanned signatures, electronic signature platforms, or facsimile) shall be effective to bind the executing Party to the same extent as original handwritten signatures, provided such transmission is accompanied by reasonable authentication of the signer.

6. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that (a) it is duly organized and validly existing under the laws of its jurisdiction of formation; (b) this Agreement has been duly authorized by all necessary corporate or other action; and (c) the persons listed as Authorized Signatories have the authority described herein as of the dates specified.

7. TERM AND REVOCATION

7.1 This Agreement is effective as of the Effective Date and shall remain in force until terminated by either Party by delivering written notice in accordance with Section 8. Termination or revocation of an Authorized Signatory shall be effective upon receipt of notice by the other Party and any reasonably affected third party.

8. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a Party may designate by notice).

9. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in a writing signed by the Party against whom enforcement is sought. No failure or delay in exercising any right shall operate as a waiver of that right.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to principles of conflict of laws.

12. SEVERABILITY

13. COUNTERPARTS; EXECUTION

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Delivery of an executed counterpart by electronic transmission shall be effective as delivery of a manually executed counterpart.
