RECITALS

WHEREAS, the parties referenced above have entered into or will enter into one or more underlying agreements, contracts, amendments, exhibits or other instruments (collectively, the "Underlying Agreement(s)"); and

WHEREAS, the parties desire to record the signatures and execution details executed in connection with the Underlying Agreement(s) and to establish certain execution and delivery procedures by means of this Legal Signature Sheet; and

WHEREAS, the parties intend that this Legal Signature Sheet be incorporated into and form a part of the Underlying Agreement(s) to the extent indicated below and to confirm that signatures and counterpart signatures shall have the same legal effect as original signatures.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein and in the Underlying Agreement(s), the parties agree as follows:

1. INCORPORATION OF SIGNATURES

The signatures executed on this Legal Signature Sheet, whether contained on the original document, an identical counterpart, or transmitted by electronic means, shall be deemed to be original signatures and shall be deemed to be incorporated into, and a part of, the Underlying Agreement(s). Each party hereby acknowledges and confirms that the signature of any authorized representative appearing on this Signature Sheet legally binds that party in the same manner as if such signature appeared on the Underlying Agreement(s) itself.

2. AUTHORITY AND REPRESENTATIONS

Each signatory represents and warrants that: (a) such party is duly organized, validly existing and in good standing under the laws of the jurisdiction identified above; (b) the individual executing this Signature Sheet on behalf of a party is duly authorized to execute and deliver this Signature Sheet and to bind that party; and (c) the execution, delivery and performance of this Signature Sheet by such party will not violate any agreement or instrument to which it is a party.

3. EFFECT AND INCORPORATION

This Signature Sheet is intended solely to evidence execution of the Underlying Agreement(s) and shall not independently create any rights or obligations other than those expressly set forth herein. To the extent a party intends for this Signature Sheet to modify or amend any provisions of the Underlying Agreement(s), such intention must be expressly stated in the Underlying Agreement(s) or by a separate amendment executed by the parties.

4. NOTICES

All notices, requests, demands and other communications required or permitted hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, by nationally recognized overnight courier, or by certified mail (return receipt requested) to the addresses set forth in the Underlying Agreement(s) or, if no address is set forth therein, to the addresses below.

5. AMENDMENT; WAIVER

No amendment or waiver of any provision of this Signature Sheet shall be effective unless in writing and signed by the party or parties against whom enforcement of the amendment or waiver is sought. No failure or delay by any party in exercising any right hereunder shall operate as a waiver thereof.

6. COUNTERPARTS; ELECTRONIC SIGNATURES

This Signature Sheet may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Execution and delivery of this Signature Sheet by electronic transmission (including facsimile, PDF or other electronic means) shall be effective to bind the transmitting party, and any such transmitted signature shall be treated as an original signature for all purposes.

7. GOVERNING LAW

This Signature Sheet shall be governed by and construed in accordance with the laws of the jurisdiction indicated below, without regard to conflicts of laws principles.

8. ENTIRE AGREEMENT

This Signature Sheet, together with the Underlying Agreement(s) expressly incorporated herein, constitutes the entire agreement among the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral, relating to such subject matter.

9. SEVERABILITY

If any provision of this Signature Sheet is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired, and the parties shall negotiate in good faith to replace such invalid, illegal or unenforceable provision with a valid provision that, to the extent possible, achieves the original economic and legal intent of the parties.
