An Authorized Signatory shall have authority to do so until the authorizing Party revokes such authority by providing written notice in accordance with Section 9 (Notices).

4.2 Each Party further warrants that it will maintain appropriate records of Authorized Signatories and will provide timely written notice of any revocation, limitation, or change in authority.

5. CONFIDENTIALITY; RECORDS

5.1 Any records, executed instruments, or other documents exchanged or created under this Agreement that are designated as confidential shall be maintained in confidence in accordance with the Parties' obligations under any confidentiality agreement between the Parties or, absent such agreement, held in confidence and not disclosed except as required by law.

5.2 Each Party shall retain for a period of at least five (5) years copies of executed Authorized Documents and evidence of the source and authority of signatures delivered under this Agreement.

11. COUNTERPARTS; ELECTRONIC DELIVERY

11.1 This Agreement may be executed in any number of counterparts, each of which when executed shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission shall be effective as delivery of an original executed counterpart.

What a Legal Signs Document Is and When It Applies

A Legal Signs Document records authorization and legal details for posting, displaying, or removing signage on property, and it can also refer to a template confirming permissions between property owner, tenant, contractor, or local authority. This document defines where signs may be placed, duration, content limitations, liability allocation, maintenance responsibilities, and compliance with municipal codes. It often includes signature blocks, effective dates, and governing law provisions. When executed correctly it creates enforceable rights and obligations under applicable contract and property law and can be signed electronically where allowed by federal and state e-signature statutes.

Why a Clear Legal Signs Document Matters

Using a Legal Signs Document provides contractual clarity, reduces disputes, and enables electronic execution under federal ESIGN (15 U.S.C. §7001) and state UETA frameworks. Ensure documents meet intent, consent, attribution, and retention for enforceability.

Why a Clear Legal Signs Document Matters

Typical Parties Involved and Their Roles

Typical parties who prepare, sign, or receive a Legal Signs Document include property owners, tenants, municipalities, and contractors.

  • Property owners — authorize sign placement, accept liability for damaged signage, and confirm compliance with zoning rules.
  • Tenants — request sign permission, specify duration and content, and accept removal responsibilities at lease end.
  • Contractors or sign companies — install, maintain, and remove signs per documented instructions and liability allocation.

Clear role definitions reduce miscommunication and help determine who must sign, notarize, or obtain permits.

Stepwise Process to Complete a Legal Signs Document

Follow these sequential steps to complete a Legal Signs Document correctly and capture required permissions, dates, and signatures.

  • 01
Prepare Draft: Describe sign location, size, duration, and responsible parties.
  • 02
Verify Codes: Check municipal zoning and permit requirements before finalizing.
  • 03
Add Signatures: Include signature blocks with printed names, dates, and capacity.
  • 04
Retain Copy: Store original signed document and send copies to all parties.

Core Elements Every Professional Legal Signs Document Should Include

A professional Legal Signs Document should be structured to cover permissions, duration, liability, maintenance, compliance, and signature authentication to avoid disputes and regulatory issues.

Scope

Define exact sign locations, dimensions, permitted materials, and whether illumination or electronic displays are allowed; include a site diagram or address reference to prevent ambiguity and ease permit review.

Duration

Specify start and end dates using MM/DD/YYYY format; include automatic renewal terms if any, and conditions for early removal or extension to reduce disagreement.

Liability

Allocate responsibility for damage, theft, vandalism, and third-party claims; state indemnity obligations and insurance requirements, including minimum coverage limits where applicable.

Permits

Require the party placing the sign to obtain necessary municipal or HOA permits and attach copies of approvals; state who bears application costs and penalties.

Maintenance

Assign maintenance and repair duties, inspection frequency, and acceptable condition standards; include timelines for corrective action and owner access for inspections.

Signatures

Provide signature blocks for all parties with printed names, titles, dates, and witness or notary lines if required by state law or local ordinance.

Security and Compliance Considerations for Signed Documents

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Certifications: SOC 2 Type II, ISO 27001
HIPAA: BAA available for protected health information
Audit Trail: Timestamps, IP address, action log
Access Controls: Role-based permissions and SSO support
Retention: Exportable, searchable audit logs retained per policy

Common Pitfalls to Avoid When Preparing Signage Agreements

  • Failing to check local zoning or sign ordinances leads to permit denials, fines, and forced removal, delaying project timelines and adding costs.
  • Using ambiguous language about duration or location creates disputes; include precise dates, site plans, and coordinates where needed.
  • Not collecting proper authorization from property owners or landlords can render agreements unenforceable and expose installers to liability.
  • Skipping notarization or witness steps when legally required causes problems in states that mandate acknowledgement for deeds or certain powers of attorney.

Consequences of Incomplete or Incorrect Legal Signs Documents

Incorrect Permits: Municipal fines, removal orders
Unauthorized Placement: Tort liability, trespass claims
Missing Signatures: Contract unenforceable; disputes
Tax/Regulatory Penalties: Fines for noncompliance
I-9/Employment Risk: Retain per 8 CFR §274a.2
Fraud/Forgery: Civil and criminal exposure

How Electronic Execution Works for a Legal Signs Document

  • Upload: Sender uploads PDF or DOCX of the document.
  • Prepare Fields: Place signature, date, and initial fields where needed.
  • Authenticate: Choose email, SMS, or KBA authentication.
  • Complete: Signer reviews, signs, and receives final copy with audit trail.
