LEGAL SINGLE CASE AGREEMENT

RECITALS

WHEREAS, Client desires to retain Counsel to provide legal services in connection with the single matter described as Case / Matter Name: , Case Number / Identifier: , in the jurisdiction of .

WHEREAS, Counsel represents that Counsel is duly qualified and experienced to provide the services described herein and is willing to act for Client on the terms and conditions set forth in this Agreement.

NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client hereby engages Counsel and Counsel accepts engagement to provide legal services solely for the single case identified above. Counsel's representation is limited to the scope expressly set forth in this Agreement and does not include representation on appeal, on unrelated matters, or on additional proceedings unless agreed in writing.

2. TERM AND TERMINATION

2.1 Term. This Agreement commences on the Effective Date and continues until conclusion of the single case, subject to earlier termination as provided herein.

2.2 Termination. Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to termination. Termination shall not relieve Client of obligation to pay Counsel for services rendered and expenses incurred through the effective date of termination.

3. FEES, RETAINER AND PAYMENT

3.1 Fees. Client shall compensate Counsel as follows (select fee arrangement(s) and provide amounts):

3.2 Billing and Payment. Counsel shall submit invoices for services and advanced expenses. Client agrees to pay invoices within days of receipt. Overdue amounts shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

4. EXPENSES AND DISBURSEMENTS

Client shall reimburse Counsel for all reasonable expenses and disbursements incurred in connection with the representation, including but not limited to court fees, filing fees, expert fees, deposition costs, travel, and courier charges. Counsel may request replenishment of the retainer for anticipated expenses.

5. CONFIDENTIALITY

Counsel will maintain the confidentiality of information obtained during the representation in accordance with applicable rules of professional conduct. Client acknowledges exceptions where Counsel may disclose information when required by law or court order.

6. CONFLICTS OF INTEREST

Counsel represents that Counsel has made reasonable inquiry and is not aware of any conflict of interest that would preclude representation in the single case at the time of execution. If a conflict arises, Counsel will promptly notify Client and take appropriate action consistent with professional obligations.

7. RECORDS; FILES

Counsel shall retain the case file for a commercially reasonable period and may destroy or dispose of the file thereafter unless Client requests delivery of original documents. Client may obtain copies of files upon payment of reasonable copying and retrieval charges.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

Client agrees to indemnify and hold Counsel harmless from claims relating to Client's failure to disclose material facts or to cooperate. Counsel's liability to Client for any claim arising out of this Agreement or the representation shall be limited to direct damages and shall not include consequential, incidental, or punitive damages to the maximum extent permitted by law.

9. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses provided below or to such other address as a party may designate in writing. Notice is effective upon personal delivery, confirmed electronic delivery, or three days after deposit in the United States mail, postage prepaid.

10. AMENDMENT; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver.

11. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located in that State.

12. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect.

13. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be binding for all purposes.
