LEGAL SIXTH SCHEDULE

This Sixth Schedule (this "Schedule") is executed as of by and between Client Name: (hereinafter "Party A") and Service Provider Name: (hereinafter "Party B") pursuant to the Agreement dated (the "Agreement").

RECITALS

WHEREAS, the parties entered into the Agreement to set forth the terms pursuant to which Party B will provide certain services and deliverables to Party A; and

WHEREAS, the Agreement contemplates the attachment of Schedules specifying detailed deliverables, acceptance criteria, compliance obligations and notice particulars; and

WHEREAS, the parties desire to set forth in this Sixth Schedule the specific covenants, timelines, reporting requirements and procedures applicable to the subject matter identified in the Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in the Agreement and this Schedule, the parties agree as follows:

1. DEFINITIONS AND INTERPRETATION

1.1 Capitalized terms used but not defined in this Schedule shall have the meanings ascribed to them in the Agreement. In this Schedule, unless the context otherwise requires, the following terms shall have the following meanings:

"Deliverable" means any item, document, report, software module, or other work product expressly described in Section 2 of this Schedule and delivered to Party A for acceptance.

2. SCHEDULE OF DELIVERABLES

2.1 Party B shall provide the following Deliverables in the order and according to the schedule below. Each listed Deliverable shall include the specified acceptance criteria and submittal format.

2.2 Time is of the essence for each milestone. Party B shall commence work immediately upon the Effective Date and shall use commercially reasonable efforts to meet each milestone date set forth in the deliverables_list. Any delay shall be notified in accordance with Section 7.

3. ACCEPTANCE PROCEDURE

3.1 Upon delivery of a Deliverable, Party A shall have calendar days to inspect and either accept or reject such Deliverable in writing with reasons for any rejection. Failure to provide written notice within such period shall constitute acceptance.

3.2 If Party A rejects a Deliverable, Party B shall, at its expense, correct the deficiencies and resubmit the Deliverable within the cure period mutually agreed in writing, which shall not exceed calendar days unless otherwise agreed.

4. COMPLIANCE, REPRESENTATIONS AND WARRANTIES

4.1 Party B represents and warrants that each Deliverable will (a) be performed in a professional and workmanlike manner consistent with industry standards, (b) conform to the acceptance criteria set forth in Section 2, and (c) comply with all applicable laws, regulations and permits.

4.2 Party B shall obtain and maintain all licenses, approvals and consents required for the performance of its obligations under this Schedule. Party B's failure to obtain or maintain such approvals shall constitute a material breach.

5. CHANGE CONTROL

5.1 Any change to the scope, schedule, price or specifications of a Deliverable shall be initiated by a written change request. The requesting party shall deliver a change request describing the requested change and its rationale.

5.2 No change shall be effective until agreed in writing and signed by authorized representatives of both parties. Price and schedule adjustments resulting from an approved change shall be set forth in a formal amendment to the Agreement.

6. REPORTING AND RECORDS

6.1 Party B shall maintain complete and accurate records of work performed, time spent, and materials used in connection with the Deliverables and shall make such records available to Party A upon reasonable request for audit or inspection during normal business hours.

7. REMEDIES; LIQUIDATED DAMAGES

7.1 In the event of Party B's material breach of the obligations set forth in this Schedule, Party A shall be entitled to all remedies available at law and in equity, including specific performance and injunctive relief, subject to any limitations set forth in the Agreement.

9.1 Governing Law. This Schedule shall be governed by and construed in accordance with the laws of without regard to its conflicts of law rules.

9.2 Entire Agreement. This Schedule, together with the Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, understandings and agreements concerning such subject matter.

9.3 Severability. If any provision of this Schedule is held to be invalid, illegal or unenforceable in whole or in part, the remaining provisions shall continue in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.

10. MISCELLANEOUS

10.1 Amendments and Waiver. No amendment to this Schedule shall be effective unless in writing and signed by authorized representatives of both parties. No waiver shall operate as a waiver of any other or subsequent breach.

10.2 Counterparts. This Schedule may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

10.3 Survival. The provisions of this Schedule which by their nature are intended to survive termination or expiration of the Agreement shall so survive.
