6. NOTICES

7. AMENDMENTS; WAIVER

This Update may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought.

8. GOVERNING LAW

This Update shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

9. ENTIRE AGREEMENT
