WHEREAS, Company desires to engage Solicitor to solicit or refer certain persons or entities pursuant to the terms of this Attachment, and Solicitor is willing to accept such engagement subject to the covenants and restrictions set forth herein; and

WHEREAS, the Parties intend that this Attachment govern solicitation activities, compensation for referrals, and the protection of Company clients, personnel and Confidential Information.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the Parties agree as follows:

1. Definitions

For purposes of this Attachment the following terms have the meanings set forth below:

"Confidential Information" means non-public business, financial, client and personnel information disclosed by the Company to Solicitor in connection with the Parties' relationship, including client lists, engagement terms, fee structures and any other material reasonably understood to be confidential.

2. Scope of Solicitation

Solicitor is authorized to solicit for the Company only those persons or entities specifically identified in Schedule A or otherwise approved in writing by the Company. Solicitor shall not represent to any third party that Solicitor is an agent of the Company for any purpose other than as expressly provided in this Attachment.

Solicitor shall conduct all solicitation activities in a professional manner consistent with applicable ethical and legal obligations, and shall not make any misleading, false or deceptive statements concerning the Company or its services.

3. Non-Solicitation Covenants

During the Term and for a period of months after termination of this Attachment for any reason, Solicitor shall not, directly or indirectly, solicit, induce or attempt to induce any client of the Company with whom Solicitor had contact arising out of Solicitor's activities under this Attachment to cease or reduce that client's relationship with the Company.

During the Term and for a period of months after termination, Solicitor shall not solicit or induce, or attempt to solicit or induce, any employee, contractor or consultant of the Company to terminate or materially alter such person's relationship with the Company.

4. Exceptions

5. Compensation and Referral Fees

In consideration for qualifying referrals, Company shall pay Solicitor a referral fee equal to of the net fees actually collected by the Company from any retained client directly resulting from Solicitor's solicitation, subject to the terms and computations set forth in this Section.

Referral fees shall be paid within days after Company collects fees from the referred client. Net fees shall be calculated by deducting direct client disbursements and agreed discounts from gross fees.

6. Confidentiality

Solicitor shall maintain all Confidential Information in strict confidence, shall use such information solely for the performance of its obligations under this Attachment, and shall not disclose Confidential Information to any third party except as required by law or with the prior written consent of the Company. 9. Indemnification

Each Party shall indemnify, defend and hold harmless the other Party from and against any and all losses, liabilities, claims, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's breach of this Attachment, willful misconduct or negligent performance of its obligations hereunder.

13. Severability

If any provision of this Attachment is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith a substitute provision that most nearly effects the Parties' original intent.

14. Amendments; Waiver; Counterparts

This Attachment may be amended only by a written instrument signed by both Parties. No failure or delay by either Party in exercising any right under this Attachment shall operate as a waiver. This Attachment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. Additional Provisions

The Parties acknowledge that they have read and understand this Attachment, have had the opportunity to consult with counsel, and agree that the covenants and obligations herein are reasonable in scope, duration and geography given the legitimate business interests of the Company.

What the Legal Solicitation Attachment Is

The Legal Solicitation Attachment is a supplemental document appended to solicitations, bids, proposals, or contracts to record legal assurances, certifications, and terms that bind respondents or vendors when incorporated by reference. Typical content includes compliance certifications, insurance and bonding details, conflict-of-interest disclosures, subcontractor lists, proprietary information notices, and acceptance of contract terms. Agencies and private buyers use it to standardize risk allocation and due diligence across procurement responses. When properly executed and retained, the attachment becomes part of the governing procurement record and may be enforceable under ESIGN (15 U.S.C. ch. 96) and state electronic transaction laws such as UETA.

Why this Attachment Matters for Procurement and Legal Clarity

A Legal Solicitation Attachment centralizes mandatory legal statements and evidence, reducing negotiation friction and making compliance checks systematic. It clarifies vendor obligations, insurance limits, and statutory disclosures up front, which limits later disputes and speeds evaluation.

Why this Attachment Matters for Procurement and Legal Clarity

Who Typically Completes and Reviews This Attachment

Procurement teams, contract managers, legal counsel, and vendor compliance officers are the primary users who prepare or review the attachment before submission.

  • Procurement managers and buyers: review compliance items and evaluate risk exposure in proposals.
  • Vendor legal or compliance teams: supply certifications, insurance details, and subcontractor information.
  • Contract administrators: incorporate the attachment into award documents and maintain records for audit.

Final reviewers should confirm the attachment is signed, dated, and retained with the solicitation record to preserve enforceability and auditability.

Essential Sections to Include in a Professional Attachment

A well-prepared Legal Solicitation Attachment is modular and clearly labeled so evaluators can find required proofs and sign-off quickly.

Vendor Identity

Legal entity name, DBA if used, registration or EIN, and primary contact. Accurate identity prevents post-award disputes and matches tax and contracting records.

Certifications

Statements of compliance (e.g., CIP, data privacy, minority-owned status) with dates and issuing authority or file numbers when applicable.

Insurance & Bonding

Insurance carrier, policy numbers, coverage limits, and effective dates. Include performance bond or payment bond references when required by solicitation.

Subcontractors

List of proposed subcontractors with scopes of work and percentage of total contract value to assess substitution approvals and flow-down obligations.

Conflicts & Disclosures

Conflict-of-interest statements, past performance exceptions, litigation history, or debarment status that could affect award eligibility.

Signature Block

Authorized signer name, title, signature and date, and statement confirming the attachment is incorporated into the solicitation or contract.

Required Data Elements at a Glance

Entity Name: Full registered name

Prepare: Gather entity, insurance, and certification documents.
  • 02
Populate Fields: Enter information exactly as it appears on official records.
  • 03

Configuring an Online Workflow for Submission

Set up your eSubmission flow to collect required fields, validate entries, and capture audit evidence.

Field Validation Require EIN format and MM/DD/YYYY for dates
Required Attachments Checklist: COI, insurance COI, subcontractor exhibits
Signer Authentication Use email verification or stronger methods for high-value awards
Document Retention Store final PDF with audit trail for procurement records
Notification Auto-notify procurement contact on completion

Where to Send or File the Completed Attachment

Determine the required delivery path early: the solicitation may require portal upload, email, or physical delivery to a specific office.

  • Procurement Portal: Upload as part of the bid package in the designated section.
  • Email Submission: Send to the procurement contact and CC contract administrator.
  • Physical Delivery: Include signed paper attachment in sealed proposal envelope.
  • Contract Record: Retain final executed copy with contract file and award documents.

Digital Delivery and eSubmission Considerations

Ensure your chosen platform supports required file formats, signer authentication, and audit trail capture before submitting electronically.

  • File Formats: PDF or DOCX are standard; confirm portal acceptance.
  • Authentication: Email, SMS, or stronger KBA for higher-risk procurements.
  • Audit Trail: Timestamp, IP, and signer metadata captured

Choose a solution that can export a tamper-evident PDF with an embedded audit trail and that integrates with your document storage and procurement systems.

Deadlines and Timing to Watch

Track solicitation deadlines and document-specific submission cutoffs to avoid disqualification or late penalties.

Proposal Submission Deadline:

Submit by the solicitation due date and time; late submissions are typically rejected.

Certificate Expiry:

Insurance certificates must be valid through contract start or as required by solicitation.

Tax and TIN Requests:

Provide W-9 or TIN documentation upon request; procurement may withhold payments for missing TINs.

Attachment Effective Date:

Sign date typically governs when representations become effective.

Post-Award Submission:

Some solicitations permit updated attachments post-award with buyer approval.

Common Preparation Errors to Avoid

  • Entering inconsistent legal names or TINs between the attachment and tax records, which can trigger contract delays or payment withholding.
  • Submitting expired insurance certificates or omitting carrier policy numbers that buyers require to verify coverage.
  • Failing to have the attachment signed by an authorized representative, leading to questions about enforceability.
  • Uploading the attachment in the wrong portal section or using an unsupported file format, resulting in missed or rejected submissions.

Consequences of Incorrect or Incomplete Attachments

Disqualification: Missing or noncompliant attachments can result in bid rejection
Payment Withholding: Incorrect TIN may trigger IRS backup withholding
Contractual Liability: False certifications may expose vendor to damages
Late Penalties: Late corrections can delay award and billing
Audit Findings: Incomplete records risk adverse audit results
Debarment Risk: Severe misrepresentations may lead to suspension
