RECITALS

WHEREAS, Solicitor is engaged in the practice of law and offers to solicit potential representation, advice, and related professional services to prospective clients; and

WHEREAS, Client has been contacted or may be contacted by Solicitor for the purpose of evaluating whether to retain Solicitor for legal services and desires to record certain acknowledgments and consent regarding such solicitation; and

WHEREAS, the parties wish to set forth in writing the scope of permitted solicitation, the Client's consent, and certain administrative terms to govern their initial communications pending any engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Solicitation" means any direct or indirect communication from Solicitor to Client for the purpose of offering legal representation or professional legal services, including but not limited to in-person contact, telephone calls, written correspondence, electronic mail, or messaging.

1.2 "Confidential Information" means non-public information disclosed by Client to Solicitor in the course of solicitation discussions, excluding information that is or becomes public through no fault of Solicitor or that is independently developed by Solicitor.

2. SCOPE OF SOLICITATION

2.1 Solicitor may communicate with Client for the limited purpose of evaluating the Client's legal needs, describing the nature of services offered, providing a preliminary estimate of fees, and determining whether an attorney-client relationship should be established. Notwithstanding any communications, no attorney-client relationship is formed until the parties execute a written engagement agreement expressly establishing the terms of representation.

2.2 Solicitor shall not make any false, misleading, or deceptive statements during solicitation. Solicitor represents that all statements of qualification, prior results, and areas of practice presented to Client are true to the best of Solicitor's knowledge.

3. CLIENT CONSENT AND CONTACT PREFERENCES

3.1 By signing this Form, Client expressly consents to receive Solicitor communications for solicitation purposes by the following means as selected below (check all that apply):

3.2 Client may revoke consent at any time by providing written notice to Solicitor as provided in the Notices section. Revocation does not affect communications already in progress or any obligation arising from a subsequently executed engagement agreement.

5.1 Any fee estimates provided during solicitation are non-binding preliminary estimates based on information available at the time. 6. CONFLICTS OF INTEREST

6.1 Solicitor represents that, to the best of Solicitor's knowledge and after a reasonable conflicts inquiry, no present conflict of interest prevents Solicitor from contacting Client for solicitation. If a potential conflict subsequently arises, Solicitor will promptly notify Client and will take appropriate action consistent with professional obligations.

6.2 Client acknowledges that the provision of general information during solicitation does not waive any privilege or create an attorney-client relationship, unless and until an engagement agreement is signed.

7. CONFIDENTIALITY

7.1 Solicitor shall treat as Confidential Information any non-public information provided by Client in connection with solicitation discussions. Solicitor may disclose Confidential Information only as required by law or professional ethics, or with Client's express written consent.

8. RECORDS AND PRIVACY

8.1 Solicitor may retain records of solicitation communications and Client contact information in accordance with Solicitor's document retention policies and applicable professional obligations.

9. NOTICES

All notices or communications required or permitted under this Form shall be in writing and delivered to the addresses set forth below or to such other address as either party may specify in writing.

10. GOVERNING LAW; JURISDICTION

This Form shall be governed by and construed in accordance with the laws of the jurisdiction specified by Solicitor below. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of this Form.

11. ENTIRE AGREEMENT; SEVERABILITY

11.1 This Form contains the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating thereto.

11.2 If any provision of this Form is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

12.1 This Form may be amended only by a written instrument executed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

12.2 This Form may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

13. ACKNOWLEDGMENTS

By signing below, Client acknowledges that Client has read this Form, understands that solicitation communications do not create an attorney-client relationship, and consents to the methods of contact selected herein.
