What a Legal Solicitor Agreement Covers

A Legal Solicitor Agreement is a written contract between a solicitor (or law firm) and a client that sets out the scope of legal services, fees, retainer terms, responsibilities, confidentiality, and dispute-resolution procedures. It defines who will perform work, how and when the client will be billed, and the circumstances that permit termination or withdrawal. The agreement also typically includes conflict-of-interest disclosures, file retention and ownership terms, and any conditions precedent to work beginning. Clear agreements reduce misunderstandings and provide a basis for ethical and professional compliance.

Why a Clear Solicitor Agreement Matters

A properly drafted Legal Solicitor Agreement protects client and solicitor interests by setting expectations for scope, fees, confidentiality, and termination, while supporting enforceability and compliance with professional conduct rules.

Why a Clear Solicitor Agreement Matters

Who Typically Uses a Legal Solicitor Agreement

Law firms and solo solicitors use these agreements for client engagement, risk management, and fee clarity.

  • Solicitors and law firms handling client matters across practice areas.
  • Corporate legal departments engaging outside counsel for specific projects.
  • Individual clients seeking clarity on fees, scope, and confidentiality.

Corporate legal teams, in-house counsel, and individual clients also rely on them to document responsibilities and preserve privilege.

Typical Signatories and Their Roles

Solicitor — Partner

A firm partner or designated solicitor signs to accept engagement terms, confirm scope and fee structure, and assume responsibility for supervision and conflicts checks on behalf of the firm.

Client — Principal

The client or authorized representative signs to confirm acceptance of fees, retainers, scope, and privacy provisions; signature binds the client to payment, cooperation, and notice obligations.

Termination

Notice requirements, refund or final accounting procedures, and obligations on withdrawal or conflict discovery.

Conflicts

Conflict-of-interest disclosures, consent procedures, and steps the firm will take if a conflict arises.

Common Mistakes to Avoid When Preparing the Agreement

  • Vague scope descriptions that create ambiguity about deliverables and lead to disputes or unexpected billing.
  • Omitting conflict checks or failing to disclose known conflicts, which may expose the firm to ethical sanctions.
  • Unclear fee language or missing retainer handling instructions that trigger billing disputes or trust accounting errors.
  • Using unsigned or partially signed copies for billing or court filings, undermining enforceability and evidentiary value.

Practical Tips for Accurate and Efficient Agreements

Use consistent templates, perform conflicts checks early, and document client consent to electronic records where required by law.

Use standardized templates
Maintain approved templates that include required ethical disclaimers, standard fee clauses, and clause libraries for jurisdictional variations; updating templates reduces drafting errors and ensures consistent client communications across the firm.
Perform conflicts checks
Complete a thorough conflicts search and document results before engagement; include a conflicts disclosure clause in the agreement and require client acknowledgement to prevent later disqualification or sanctions.
Document consent for e-records
For consumer-facing matters, provide the ESIGN consumer disclosure showing the right to paper, confirm the client's ability to access electronic records, and capture explicit consent to proceed electronically.
Preserve audit trails
When using eSignature platforms, retain the certificate of completion and metadata (IP, timestamps, authentication method) to support enforceability and evidentiary needs.
