LEGAL SOLICITOR DOCUMENT

This Legal Solicitor Document (the "Agreement") is entered into as of by and between Client Name: , having a principal address at (hereinafter "Client"), and Solicitor Name: of Solicitor Firm: , having a principal address at (hereinafter "Solicitor").

RECITALS

WHEREAS, Client desires to engage Solicitor to provide legal services in connection with matters described in the Scope of Services below; and

WHEREAS, Solicitor represents that Solicitor is duly qualified, licensed, and experienced to provide such legal services and will perform the services in accordance with applicable professional rules and duties; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to such engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT AND SCOPE

1.1 Engagement. Client hereby engages Solicitor and Solicitor accepts engagement to perform legal services for Client as described in the Scope of Services. Solicitor shall provide legal advice, representation, and related services consistent with professional obligations and this Agreement.

2. DUTIES OF SOLICITOR

2.1 Performance. Solicitor shall perform services with reasonable care, skill and diligence in accordance with applicable law and professional standards. Solicitor shall keep Client informed of material developments, respond to Client inquiries in a timely manner, and deliver work product consistent with the Scope of Services.

2.2 Conflicts. Prior to commencement Solicitor has conducted an initial conflicts check. Solicitor shall disclose any actual or potential conflicts of interest discovered during the engagement. If a conflict arises that cannot be cured with informed consent, Solicitor may withdraw in accordance with professional rules.

3. CLIENT OBLIGATIONS

3.1 Client Cooperation. Client shall provide timely instructions, relevant documents, and full cooperation as reasonably requested by Solicitor. Client shall be truthful and shall not withhold material information relevant to the matters for which Solicitor is engaged.

4. FEES, COSTS AND PAYMENT

4.1 Fees. Client shall pay Solicitor fees as set forth below. Fees shall be computed on an hourly basis at the rates agreed to by the parties, or as otherwise agreed in writing.

5. CONFIDENTIALITY

5.1 Confidential Information. Subject to applicable law and professional duties, Solicitor shall maintain the confidentiality of Client information and shall not disclose confidential information except as required by law or with Client's informed consent. Client understands that Solicitor may be required to reveal privileged or confidential information to comply with legal or ethical obligations.

6. CONFLICTS OF INTEREST AND PROFESSIONAL RESPONSIBILITIES

6.1 Solicitor shall comply with professional rules regarding conflicts, independence, and duties to former clients. Where a conflict arises that would materially limit Solicitor's ability to act, Solicitor shall promptly notify Client and cease representation if required by law or ethics.

7. TERM AND TERMINATION

7.1 Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the Scope of Services or earlier termination as provided herein.

7.2 Termination. Either party may terminate this Agreement upon written notice. Client shall remain liable for all fees and costs incurred prior to the effective date of termination and for any reasonable wind-up fees. If termination is for cause, the non‑breaching party may pursue available remedies.

8. LIABILITY AND INDEMNITY

8.1 Limitation of Liability. Except to the extent prohibited by applicable professional rules, Solicitor's liability to Client arising out of this Agreement or the performance of services shall be limited to direct damages and shall exclude consequential, punitive or incidental damages. Client acknowledges the inherent uncertainties in legal matters and agrees that results are not guaranteed.

8.2 Indemnity. Client shall indemnify and hold harmless Solicitor from and against any liabilities, claims, losses or expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, misrepresentations, or willful misconduct.

9. INSURANCE

9.1 Solicitor represents that Solicitor maintains professional liability insurance in amounts customary for similar practices. Upon written request, Solicitor will provide evidence of insurance coverage to Client where permitted by law.

10. NOTICES

10.1 All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a party may designate by written notice).

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 Amendments. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

11.2 Waiver. No waiver of any provision shall be effective unless in writing. The failure of either party to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

11.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

12.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings.

12.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. MISCELLANEOUS

13.1 Assignment. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Solicitor may assign administrative responsibilities to subordinate attorneys or approved third-party service providers while remaining responsible for overall performance.

13.2 Records. Solicitor shall retain client files and documents in accordance with professional obligations and applicable law. Client may request copies of file materials upon reasonable notice and subject to payment of reasonable reproduction costs.
