LEGAL SOLICITOR AGREEMENT

This Legal Solicitor Agreement (the Agreement) is made effective as of between Solicitor Name: and Client Name: .

RECITALS

WHEREAS, Solicitor represents that Solicitor is duly authorized and competent to provide legal services and is duly admitted to practice law in the applicable jurisdiction(s); and

WHEREAS, Client desires to engage Solicitor to provide legal services relating to the matter described below and Solicitor is willing to provide such services on the terms and conditions set forth in this Agreement;

WHEREAS, the parties intend that their respective rights, obligations and the manner of their engagement be governed by the terms set forth herein.

NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following definitions apply: "Services" means the legal work described in Section 2; "Fees" means amounts payable to Solicitor pursuant to Section 3; "Retainer" means funds deposited by Client to secure payment of Fees and Costs.

2. ENGAGEMENT; SCOPE OF SERVICES

Solicitor is engaged to perform legal services for Client in connection with the matter described as:

Solicitor shall perform the Services in a professional manner consistent with applicable rules of professional conduct and shall keep Client reasonably informed of material developments. Solicitor is not responsible for matters outside the scope described unless agreed in writing.

3. FEES, BILLING AND PAYMENT

Client agrees to pay Fees for Services as set forth below. Billing shall be rendered in accordance with Solicitor's usual practices and is due upon receipt unless otherwise agreed in writing.

4. RETAINER AND TRUST ACCOUNT

Any retainer paid by Client will be deposited into Solicitor's trust account. Solicitor shall apply trust funds to Fees and Costs only as earned or incurred in accordance with applicable trust account rules. A detailed accounting of funds drawn from the trust account shall be provided to Client upon request and in periodic statements.

5. CLIENT RESPONSIBILITIES

Client shall cooperate with Solicitor, provide truthful and complete information, respond promptly to requests and make timely payments of invoices. Client is responsible for the accuracy of facts and for providing documents necessary for the performance of Services.

6. CONFIDENTIALITY

Solicitor shall maintain as confidential all information received from Client in the course of the engagement, except to the extent disclosure is authorized by Client or required by law, court order, or applicable ethical rules. Client acknowledges that Solicitor may disclose confidential information to employees, associates, or third-party service providers as reasonably necessary to perform the Services, provided that Solicitor shall require such persons to maintain confidentiality.

7. CONFLICTS OF INTEREST

Solicitor represents that, to the Solicitor's knowledge, there are no conflicts that would materially impair the Solicitor's ability to represent Client. If a conflict is discovered, Solicitor will notify Client promptly and may cease representation if consent cannot be obtained or if required by professional obligations.

8. RECORDS AND FILE OWNERSHIP

Solicitor's files and internal work product, including mental impressions and legal theories, are the property of Solicitor. Client is entitled to copies of Client's documents. Upon termination, Solicitor will provide Client with files and records as required by applicable professional obligations upon prompt payment of outstanding Fees and Costs.

9. TERMINATION

Either party may terminate this Agreement upon written notice to the other. Upon termination, Client shall pay Solicitor for all Services performed and Costs incurred through the date of termination, including reasonable time required for orderly transfer of the matter.

10. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, Solicitor's liability for any claim arising out of this engagement shall be limited to the total Fees paid by Client for the Services rendered under this Agreement. Under no circumstances shall Solicitor be liable for consequential, incidental, special or punitive damages.

11. INDEMNIFICATION

Client shall indemnify, defend and hold harmless Solicitor from and against any and all claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement or Client's intentional or negligent acts or omissions.

12. NOTICES

All notices under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses provided below, or to such other address as a party designates by notice.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of laws principles.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the engagement and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to the subject matter hereof.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall remain in full force and effect and such invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the parties' intent.

16. AMENDMENTS; WAIVER

Any amendment to this Agreement must be in writing and signed by both parties. No waiver of any breach or default shall be considered a waiver of any subsequent breach or default.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed to be original signatures.
