The officers of the Company are authorized and directed to take all actions necessary or desirable to effectuate the determination of solvency, including but not limited to preparing and delivering financial statements, obtaining opinions of counsel, and executing any documents evidencing distributions, loans, repayments, or corporate actions authorized by the Board. Authorization is granted to effect distributions in an aggregate amount not to exceed to the following payees or classes of payees as set forth in Company records or officer certificates.

The Chief Executive Officer and Chief Financial Officer (or other duly authorized officers) shall prepare, sign and deliver to the Board a written statement describing the material assets and liabilities, contingent obligations, cash flow projections for a period of not less than twelve (12) months following the Effective Date, and other information relied upon in reaching the solvency determination. Any officer of the Company is authorized to certify a copy of this Resolution to any third party and to state that the Board has determined the Company to be solvent as set forth herein. The Board intends that third parties may rely on such certification in good faith dealings with the Company, and the Company will indemnify and hold harmless such third parties to the extent permitted by law and the Company's governing documents.
  5. 5. Limitations; No Admission. This Resolution constitutes a determination of solvency solely for purposes stated herein and shall not be construed as an admission of the existence or extent of liabilities or as a waiver of any rights of the Company or its creditors. No action taken pursuant to this Resolution shall affect the rights of creditors under applicable law.

Notices shall be given in writing and shall be effective upon delivery by hand, electronic delivery with confirmation, nationally recognized overnight courier, or by certified mail, return receipt requested, to the addresses provided above or such other address as a party may designate in writing.

MISCELLANEOUS

Governing Law: This Resolution shall be governed by and construed in accordance with the laws of Jurisdiction of Governing Law: , without regard to principles of conflicts of law.
