LEGAL SPANISH AGREEMENT

Este Acuerdo en idioma español (el "Acuerdo") se celebra en fecha de de entre Cliente Name: , representado por , con domicilio en ; y Provider Name: , representado por , con domicilio en . Las partes convienen en lo siguiente.

CONSIDERANDOS

CONSIDERANDO que Provider Name posee la experiencia, capacidad técnica y recursos necesarios para prestar los servicios descritos en este Acuerdo;

CONSIDERANDO que Cliente Name desea contratar los servicios de Provider Name conforme a los términos y condiciones que se establecen en este instrumento;

CONSIDERANDO que las partes desean regular sus derechos y obligaciones mediante este documento, dejando sin efecto cualquier acuerdo previo entre ellas respecto del objeto del presente.

POR TANTO, en atención a los considerandos anteriores y a las mutuas estipulaciones que se detallan a continuación, las partes acuerdan lo siguiente:

1. OBJETO

Provider Name se obliga a prestar para Cliente Name los servicios y/o entregar los bienes descritos en el Anexo A, que forma parte integrante de este Acuerdo. Los servicios incluirán, sin limitarse a, las actividades técnicas, de consultoría y entrega de entregables detallados en Anexo A y cualquier otro servicio que las partes acuerden por escrito.

2. DEFINICIONES

Para efectos de este Acuerdo, los siguientes términos tendrán el significado que se indica: "Servicios" comprenderá las prestaciones descritas en el Anexo A; "Entregables" los productos, informes y materiales resultantes de la prestación de los Servicios; "Información Confidencial" la información técnica, comercial o de otra índole divulgada por una parte a la otra en relación con este Acuerdo.

3. PLAZO

El presente Acuerdo tendrá una vigencia de meses a partir de la fecha de entrada en vigor indicada al inicio, salvo terminación anticipada conforme a la cláusula 7.

4. CONTRAPRESTACIÓN Y FORMA DE PAGO

Cliente Name pagará a Provider Name la suma de (moneda aplicable) por los Servicios, conforme al cronograma de pagos siguiente: . Los pagos se efectuarán contra la presentación de factura o comprobante fiscal válido.

5. CONFIDENCIALIDAD

Cada parte se obliga a mantener en estricta confidencialidad toda Información Confidencial recibida de la otra parte y a no divulgarla a terceros ni usarla para fines distintos a la ejecución de este Acuerdo. Esta obligación subsistirá durante la vigencia del Acuerdo y por un período de cinco (5) años posteriores a su terminación.

6. PROPIEDAD INTELECTUAL

Salvo pacto en contrario, todos los derechos de propiedad intelectual generados específicamente como resultado de la prestación de los Servicios y contenidos de los Entregables serán propiedad de Cliente Name, y Provider Name cede por este acto todos los derechos necesarios para que Cliente Name pueda utilizar y explotar dichos Entregables. Provider Name conservará la titularidad de su know-how preexistente.

7. TERMINACIÓN

Cualquiera de las partes podrá dar por terminado el presente Acuerdo mediante notificación escrita con treinta (30) días de antelación en caso de incumplimiento sustancial no subsanado por la otra parte dentro del periodo señalado en la notificación. En caso de terminación por incumplimiento, la parte incumplidora indemnizará a la otra por los daños y perjuicios razonablemente demostrados.

8. INDEMNIZACIÓN

Provider Name indemnizará y mantendrá indemne a Cliente Name frente a reclamaciones, daños, costos y gastos (incluyendo honorarios razonables de abogados) derivados de incumplimiento contractual, negligencia grave o infracción de derechos de terceros por parte de Provider Name en relación con la prestación de los Servicios.

9. LIMITACIÓN DE RESPONSABILIDAD

Salvo por responsabilidad por dolo o negligencia grave, la responsabilidad total de cada parte por cualquier reclamación derivada de este Acuerdo se limita al monto efectivamente pagado por Cliente Name a Provider Name en los seis (6) meses anteriores al hecho que dio origen a la reclamación.

10. NOTIFICACIONES

Todas las notificaciones relacionadas con este Acuerdo deberán realizarse por escrito y dirigirse a las direcciones indicadas a continuación, o a otra dirección que la parte notificante comunique por escrito.

11. LEY APLICABLE Y JURISDICCIÓN

Este Acuerdo se regirá e interpretará conforme a las leyes aplicables en la jurisdicción acordada por las partes. Para la resolución de controversias las partes se someten a la jurisdicción de los tribunales competentes que correspondan a la sede de Cliente Name, renunciando a cualquier otro fuero que pudiera corresponderles.

12. CESIÓN

Ninguna de las partes podrá ceder o transferir total o parcialmente los derechos u obligaciones derivados de este Acuerdo sin el consentimiento previo y por escrito de la otra parte, excepto en caso de fusión o venta de la totalidad o la mayor parte de sus activos.

13. MODIFICACIONES Y RENUNCIA

Cualquier modificación a este Acuerdo deberá constar por escrito y ser firmada por representantes autorizados de ambas partes. La falta de exigencia de cumplimiento de alguna disposición no constituirá renuncia de derecho salvo manifestación escrita en contrario.

14. DIVISIBILIDAD

Si alguna disposición de este Acuerdo fuera considerada nula, inválida o inaplicable en todo o en parte, dicha disposición se tendrá por separada y no afectará la validez de las restantes disposiciones, que continuarán en pleno vigor y efecto.

15. ACUERDO COMPLETO

Este documento constituye el entendimiento completo entre las partes respecto del objeto del mismo y sustituye y reemplaza cualquier otro acuerdo, entendimiento o negociación previa, ya sea oral o escrita.

16. CONTRAPARTES

Este Acuerdo podrá ser firmado en varias contrapartes, cada una de las cuales se considerará un original y todas juntas constituirán un solo instrumento.

DECLARACIONES ADICIONALES

Las partes declaran que las personas que suscriben este Acuerdo están debidamente facultadas para obligarlas en los términos aquí expresados. En caso de requerir aprobaciones corporativas, dichas aprobaciones deberán constar por escrito y acompañar al presente.
