RECITALS

WHEREAS, Client desires to procure certain specifications, designs, deliverables and services described in this Specification for the project titled (the "Project");

WHEREAS, Contractor represents that it has the expertise, personnel, facilities and capacity to prepare and deliver the Specifications and Deliverables in accordance with the terms and schedule set forth herein;

WHEREAS, the parties wish to set forth the requirements, acceptance criteria, change control procedures and payment terms applicable to the Specifications and Deliverables.

NOW, THEREFORE

In consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Deliverables" means the tangible and intangible items, including documentation and source files, to be delivered by Contractor to Client as described in Section 2 and in the Detailed Specifications.

1.2 "Acceptance Criteria" means the objective tests and standards set forth in Section 3 by which Client shall accept or reject Deliverables.

2. SPECIFICATIONS AND SCOPE

2.1 Contractor shall perform the work and deliver the Deliverables in accordance with the Detailed Specifications attached hereto or described below. The Detailed Specifications describe functional, technical and interface requirements, required formats, and any regulatory or compliance standards to be met.

3. DELIVERABLES, MILESTONES, AND ACCEPTANCE

3.1 Deliverables shall be delivered according to the following milestones. Time is of the essence as to milestone dates.

3.2 Upon delivery of a Deliverable, Client shall have days to perform acceptance testing against the Acceptance Criteria. Failure to provide a written rejection specifying non-conformities within that period constitutes acceptance.

4. CHANGE CONTROL

All changes to the Detailed Specifications, scope, or milestones shall be made only by written Change Order signed by authorized representatives of both parties. A Change Order shall specify the change, impact on price and schedule, and any required adjustments to acceptance criteria.

5. COMPENSATION AND PAYMENT

5.1 Client shall pay Contractor the amounts set forth below in consideration for the Deliverables and services rendered under this Specification.

5.2 Unless otherwise agreed, Client shall pay invoiced amounts within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. INTELLECTUAL PROPERTY

6.1 Subject to Client's payment in full, Contractor hereby assigns and shall assign to Client all right, title and interest in Deliverables created specifically for Client under this Specification. Contractor shall retain ownership of its pre-existing tools, methodologies and general know-how, provided no Confidential Information or Deliverable is disclosed or transferred.

6.2 Contractor shall execute such instruments and take such further actions as reasonably requested to perfect Client's rights in the Deliverables.

7. CONFIDENTIALITY

Each party shall hold in confidence all Confidential Information of the other party and shall not disclose such information except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential Information does not include information that is publicly known through no breach by the receiving party or that is independently developed without use of the disclosing party's Confidential Information.

8. WARRANTIES

Contractor warrants that Deliverables will materially conform to the Detailed Specifications for a period of days following acceptance. Contractor's sole obligation for breach of this warranty shall be to, at Contractor's option, promptly correct the nonconforming Deliverable at no additional charge or refund the portion of fees attributable to the nonconforming Deliverable.

9. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against any third-party claims arising out of Contractor's breach of representations, infringement of third-party intellectual property rights by the Deliverables, or Contractor's gross negligence or willful misconduct.

10. LIMITATION OF LIABILITY

Except for liability arising from breach of confidentiality, willful misconduct, or Contractor's indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. Contractor's aggregate liability for claims arising under this Specification shall be limited to the total fees paid by Client to Contractor under this Specification.

11. TERM; TERMINATION

This Specification shall commence on the Effective Date and continue until completion of the Deliverables unless earlier terminated as provided herein. Either party may terminate for material breach if the breach is not cured within 30 days after written notice. Upon termination, Client shall pay Contractor for all work performed and accepted up to the termination date.

12. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, or certified mail (return receipt requested).

13. GOVERNING LAW; DISPUTE RESOLUTION

This Specification shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles. The parties shall use good faith efforts to resolve disputes promptly and amicably. If unresolved, disputes shall be resolved in the courts located within the chosen jurisdiction.

14. ENTIRE AGREEMENT; AMENDMENTS; SEVERABILITY; WAIVER; COUNTERPARTS

This Specification, together with any attachments and executed Change Orders, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior understandings. No amendment shall be effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force. Failure to enforce any provision is not a waiver of future enforcement. This Specification may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.

MISCELLANEOUS

Contractor shall perform the work in compliance with applicable laws, regulations and industry standards. Contractor shall be responsible for its employees, agents and subcontractors and shall ensure that subcontractors are bound by obligations consistent with this Specification.
